Don’t assume that registering a company in Malaysia is as simple as filling out a few forms and paying a fee-there are several hidden, yet critical, requirements that can stall your application. These conditions aren’t prominently displayed on the official government website, nor are they routinely emphasized by intermediaries. Yet failure to meet any one of them will cause your entire application to stall at the review stage.

Local Directorship Is a Legal Requirement
1. At least one director must be a Malaysian citizen or a resident holding long-term residency status.
2. Such director must be at least 18 years old and must not have been declared bankrupt by a court or disqualified from serving as a company officer.
3. The director’s residential address must be a valid, physical address within Malaysia; P.O. boxes are not accepted.
4. If engaging a nominee director service, the appointed individual must be formally approved by the Companies Commission of Malaysia (SSM) and must actively participate in corporate decision-making-not merely serve as a “name-only” figurehead.
Company Name Pre-Approval Involves Substantive Review
1. The proposed name must not duplicate any existing registered business name-including names of companies deregistered within the past five years. The SSM system conducts a full-database automated check.
2. Names containing regulated terms such as “Bank,” “Insurance,” or “Fund” require prior written approval from the relevant sectoral regulatory authority.
3. Non-Malay-language names must be accompanied by an officially standardized Chinese translation that is unambiguous and free from misleading connotations.
4. Names must not incorporate abbreviations of government agencies, acronyms of international organizations, or sensitive geographical identifiers that could cause public confusion.
Share Capital and Paid-in Requirements Have Defined Operational Boundaries
1. Share capital may be subscribed in cash, tangible assets, intellectual property, or receivables-but the composition and valuation methodology must be explicitly stated in the company’s constitution.
2. Non-cash contributions must be independently appraised by a qualified third-party valuation firm, and the formal valuation report must be submitted with the registration documents.
3. The initial paid-up share capital must amount to no less than 25% of the total authorized capital, and full verification-including submission of audited proof-must be completed within three months of incorporation.
4. Share capital must be denominated exclusively in Malaysian Ringgit (MYR); foreign currency contributions must be converted into MYR at the Bank Negara Malaysia’s published mid-rate on the date of fund receipt.
Registered Address Must Be Physically Verifiable
1. The address must correspond to an actual commercial premises or residential unit-not a virtual office or a generic co-working space address.
2. Proof of address must include a utility bill, tenancy agreement, or certified copy of the title deed issued within the last three months-and the account holder’s name must match that of a shareholder or director.
3. If using a registered office service provider, the provider must be officially registered with the SSM and must commit-in writing-to facilitating any subsequent on-site verification.
4. Once registered, the address cannot be changed arbitrarily; any first-time change must be formally updated with the SSM within 15 days of the change taking effect.
