How to Register a Company in Malaysia: A Step-by-Step Guide to Meeting All Requirements
Setting up a company in Malaysia presents both opportunities and challenges for many entrepreneurs. While the overall process appears straightforward, it involves numerous detailed requirements-oversights at any stage can delay registration or incur unexpected costs. This article avoids theoretical discussion and instead focuses exclusively on essential actions, mandatory requirements, and practical pitfalls commonly overlooked-helping you navigate and avoid common missteps.

I. Eligibility and Prerequisites Before Registration
1. At least one shareholder must be a Malaysian citizen or hold long-term residency status. Foreign nationals may serve as shareholders but must appoint at least one local director or company secretary.
2. The proposed company name must be checked for availability and approved by the Companies Commission of Malaysia (SSM). It must not duplicate an existing business name nor contain sensitive or restricted terms.
3. The registered office address must be a physical, operational premises located within Malaysia-P.O. boxes or virtual addresses are not acceptable for official registration purposes.
4. At least one director must be at least 18 years old and must not be bankrupt or disqualified by court order from serving as a director.
5. A company secretary must be appointed; this individual must be a Malaysian resident and possess the statutory qualifications required under the Companies Act 2016. The sole shareholder cannot also act as the company secretary.
II. Five Core Steps for Formal Registration
1. Submit a company name reservation application for verification. Upon approval, the reserved name remains valid for three months.
2. Prepare and sign the Memorandum and Articles of Association (M&A), clearly outlining shareholding structure, directors’ rights and responsibilities, and corporate governance provisions.
3. File the online registration application via SSM’s e-Registration portal, uploading supporting documents including identity and address proofs, along with the signed M&A.
4. Pay the registration fee and await processing. Under normal circumstances, registration is completed within five working days, and the Certificate of Incorporation is issued electronically.
5. Complete tax registration: Within 30 days of incorporation, file a notification with the Inland Revenue Board of Malaysia (IRB) to obtain a Tax Identification Number (TIN) and, where applicable, registration for Sales Tax and/or Service Tax.
III. Post-Registration Compliance Obligations You Cannot Skip
1. Open a corporate bank account. Required documents typically include the Certificate of Incorporation, certified copy of the M&A, and identification documents of directors and shareholders. Some banks mandate in-person signing or video verification.
2. File the Annual Return annually, disclosing updated information on the company’s status, directors, and shareholders.
3. Submit audited financial statements and corporate income tax returns on schedule. Private limited companies must engage a licensed auditor to audit their financial statements prior to filing.
4. If hiring employees, register with the Employees’ Provident Fund (EPF), Social Security Organization (SOCSO), and Employment Insurance System (EIS) within the first month of employment.
5. Additional registrations-including trademarks, domain names, and industry-specific licenses-must be pursued separately based on actual business activities. Though not part of the basic incorporation process, these are critical for lawful and effective operations.
The above outlines the key procedures and mandatory requirements for registering a company in Malaysia. If you have specific questions-or wish to explore further details-we recommend tailoring your compliance roadmap and timeline according to your business model and shareholder composition.

December 12, 2024The experience was very good. I was still struggling to compare it with other companies. I went to the site a few days ago and wanted to implement it as soon as possible. I didn't expect that everything exceeded my expectations. The company is very large, with several hundred square meters. The employees are also dedicated and responsible. There is also a wall of certificates. I placed an order on the spot. It turned out that I did not make a wrong choice. The company's service attitude is very good and professional. The person who contacted me explained various things in detail in advance. After placing the order, the follow-up was also very timely, and they took the initiative to report the progress to me. In short, I am very satisfied and recommend this company!

The merchant said that they have been operating offline for more than 10 years and are indeed an old team of corporate services.
