What Are the Requirements for Registering a Company in Malaysia? Clarify These Points Before You Begin
Before launching a business in Malaysia, many entrepreneurs ask: “What are the basic requirements for registering a company?” This question may seem straightforward, but in practice, overlooking even minor details can delay the entire process. Understanding these thresholds and requirements clearly helps avoid repeated document revisions, application rejections, or delays in commencing operations.

I. Eligibility Requirements for Registration
1. At least one natural person must serve as a director of the company; such director must be at least 18 years old and have no record of bankruptcy.
2. At least one director must be a Malaysian citizen or a foreign national holding a long-term residence visa.
3. The company must appoint a qualified company secretary who holds a valid local practicing license; this role cannot be fulfilled by the sole director.
4. For a private limited company (Sdn. Bhd.), the maximum number of shareholders is 50, and shareholders may be either individuals or corporate entities.
5. Foreign individuals may serve as shareholders or directors, but they are not permitted to act solely as the company secretary.
II. Company Name and Structural Requirements
1. The company name must end with “Sendirian Berhad” or its abbreviation “Sdn. Bhd.” It must not include restricted terms such as “Bank,” “Insurance,” or “Royal.”
2. The proposed name must be pre-approved by the Companies Commission of Malaysia (SSM). No two registered companies may share the same name, and the chosen name must not cause confusion with existing trademarks or well-known brands.
3. If the name includes any language other than English, an official English translation must be submitted alongside a clear explanation of its meaning.
4. A private limited company must adopt formal Memorandum and Articles of Association, which must comply with the Companies Act 2016.
III. Registered Address and Office Requirements
1. A valid registered address located within Malaysia is mandatory; this address will serve as the official point of contact for statutory correspondence and legal notices.
2. The registered address may be a commercial premises, co-working space, or residential address-provided it allows reliable mail receipt and delivery and supports potential on-site verification.
3. Proof of address must be one of the following, issued within the past three months: utility bill (e.g., electricity or water), tenancy agreement, or letter from property management.
4. A post office box (PO Box) cannot be used as the statutory registered address.
IV. Required Documentation Checklist
1. Certified copies of valid passports for all directors and shareholders; foreign nationals must also provide scanned copies of their visa pages and entry stamps.
2. Recent proof of residential address for each director and shareholder-for example, a bank statement, credit card statement, or official residency certificate issued by a government authority.
3. Draft constitution (Memorandum and Articles of Association), specifying share structure, directors’ powers and responsibilities, meeting procedures, and other key provisions.
4. A certified copy of the company secretary’s practicing certificate, along with their signed service confirmation letter.
5. Evidence of the registered address-such as title deed or lease agreement-and a written consent letter from the property owner authorizing use of the address for company registration purposes.
V. Post-Registration Compliance Obligations
1. Within 30 days of incorporation, the company must register with the Inland Revenue Board (IRB) for corporate income tax and, where applicable, sales tax.
2. Annual financial statements and the annual return must be filed with the Companies Commission of Malaysia (SSM); late submissions may incur penalties and additional fees.
3. If hiring employees, the company must register with the Employees’ Provident Fund (EPF), Social Security Organization (SOCSO), and Employment Insurance System (EIS) within the first month of employment.
4. Legal documents-including the company seal and bank account authorization letters-should be prepared and formally recorded promptly after registration.
The above outlines the fundamental conditions and practical considerations essential to registering a company in Malaysia. Should you have further questions-or wish to explore how specific circumstances (e.g., business type, shareholder nationality, or ownership structure) may affect your registration process-we recommend reviewing your unique situation early, organizing required documentation thoroughly, and allowing sufficient time to coordinate each step seamlessly.

December 12, 2024The experience was very good. I was still struggling to compare it with other companies. I went to the site a few days ago and wanted to implement it as soon as possible. I didn't expect that everything exceeded my expectations. The company is very large, with several hundred square meters. The employees are also dedicated and responsible. There is also a wall of certificates. I placed an order on the spot. It turned out that I did not make a wrong choice. The company's service attitude is very good and professional. The person who contacted me explained various things in detail in advance. After placing the order, the follow-up was also very timely, and they took the initiative to report the progress to me. In short, I am very satisfied and recommend this company!
