
Starting a Company in Malaysia? Understand These 3 Registration Requirements and 4-Step Process Before You Begin
Establishing a company in Malaysia is a pragmatic choice for many entrepreneurs and cross-border operators. However, in practice, numerous applicants experience repeated delays-or even outright rejection-due to overlooking fundamental eligibility requirements or procedural details. Three Essential Conditions to Fulfill Before Registration
1. At least one shareholder-either an individual or a legal entity-with no nationality restrictions; however, the shareholder must be at least 18 years old and must not have been declared bankrupt or adjudged mentally incapacitated by a court.
2. At least one resident director domiciled in Malaysia, who must maintain a fixed residential address in the country and provide official proof of address. If the director is a foreign national, they must concurrently obtain the appropriate work permit or long-term residence status to lawfully fulfill their duties.
3. A registered office address located within Malaysia that is capable of receiving official correspondence. While virtual office services are generally accepted, the service provider must hold valid regulatory accreditation and be backed by a verifiable physical premises.
The Four-Step Standard Registration Process
1. Company Name Search and Approval: Submit the proposed company name to the Companies Commission of Malaysia (SSM). 3. Online Submission of Registration Application: Complete the application via SSM’s designated e-filing platform, uploading all scanned documents. Upon submission, the system generates a unique application reference number. Critical fields-including shareholder composition and share capital structure-cannot be modified after submission.
4. Issuance of Certificate of Incorporation and Business Identification Numbers: Upon approval, the electronic Certificate of Incorporation is issued instantly; the physical certificate may be collected in person or delivered by mail. Concurrently, the company receives its Unique Entity Number (UEN), Employer Identification Number (if applicable), and Unified Business Identification Code-essential for subsequent bank account opening and tax registration.
Post-Registration Compliance Obligations You Cannot Overlook
1. Register with the Inland Revenue Board of Malaysia (IRB) within 30 days of incorporation, and determine-based on your business activities-whether you need to apply for Sales Tax or Service Tax registration.
2. When opening a corporate bank account, most local banks require the Certificate of Incorporation, certified copy of the constitution, identification and proof of address for directors and shareholders, and a business description. Some banks impose additional requirements for first-time accounts held by foreign shareholders-including in-person interviews or video-based due diligence sessions.
3. Appoint a qualified company secretary who must be either a Malaysian citizen or a permanent resident holding recognized professional credentials. The secretary’s responsibilities include maintaining statutory registers, convening general meetings, and filing annual returns.
4. Hold the first Annual General Meeting (AGM) within 18 months of incorporation, and thereafter at least once every calendar year. Financial statements must be prepared in accordance with the Malaysian Financial Reporting Standards (MFRS) and audited by a licensed auditor-subject to the company’s size and classification under the Companies Act 2016.
