Foreigners Starting a Company in Thailand? Here Are the 5 Steps to Complete Thai Company Registration
Many foreigners consider launching business operations in Thailand, and registering a local company is a common route. However, in practice, fragmented information, unclear procedures, and opaque pricing from intermediaries often lead to pitfalls. This article outlines a realistic and actionable registration framework-grounded in current regulations and real-world experience-and breaks down key steps and critical considerations.

I. Fundamental Requirements for Foreigners Registering a Company in Thailand
1. At least one natural-person shareholder must be Thai national, holding no less than 51% of the shares. This requirement applies to most industries-especially those restricted under the Foreign Business Act.
2. Foreign shareholders may serve as directors but cannot assume any managerial role other than that of legal representative. In certain sectors, Thai nationals must constitute a majority of the board of directors.
3. Registered capital must be fully subscribed; at least 25% must be paid in full upon company incorporation, with documented proof of lawful funding sources.
4. The company name must be pre-approved by the Ministry of Commerce. It must not duplicate any existing business name and must reflect the company’s core business activities.
5. The registered office address must be a legitimate commercial premises-residential addresses are prohibited. A signed lease agreement and a letter of consent from the property owner are required.
II. Five Core Steps in Registering a Thai Company
1. Determine company type and scope of business: Select a limited company (Co., Ltd.) and cross-check your intended business activities against the Foreign Business Act’s negative list to confirm whether foreign majority ownership is permitted-or whether a special license is required.
2. Conduct name reservation and draft the Articles of Association: Submit three preferred names to the Ministry of Commerce for pre-approval. Once approved, draft the Articles of Association, which must include statutory provisions on shareholder details, registered capital, shareholding structure, and directors’ rights and responsibilities.
3. Hold the statutory general meeting and sign registration documents: All shareholders and directors must attend in person to sign original documents-including the Articles of Association, Shareholders’ Resolution, and Director Appointment Letter-all prepared in Thai and certified by a public notary.
4. Submit the registration application to the Ministry of Commerce: File the complete documentation package, including identity and residence proofs, evidence of paid-in capital, office address documents, and duly signed statutory instruments. Processing typically takes five to seven working days.
5. Collect the Company Registration Certificate and complete post-incorporation formalities: Within 30 days of receiving the Company Registration Certificate, the company must complete tax registration, social security registration, official seal registration, and corporate bank account opening-failure to fulfill any of these steps renders the company non-compliant.
III. Critical Compliance Considerations
1. Annual financial statements and tax returns must be filed on time; failure to do so may jeopardize the company’s legal standing and operational continuity.
2. Additional industry-specific licenses are required for businesses involving import/export, manufacturing, tourism, education, and other regulated sectors-the issuing authorities and approval timelines vary accordingly.
3. Inflows and outflows in the corporate bank account must align with actual business operations. Large-scale non-operational fund transfers may trigger bank risk-control reviews.
4. Using a Thai national solely as a nominal shareholder carries legal risks. While a written agreement clarifying rights and obligations is advisable, its enforceability remains subject to interpretation by Thai courts.
5. Any changes-including office address, director appointments or resignations, and adjustments to registered capital-must be formally reported to relevant authorities within prescribed deadlines.
The above outlines the primary pathway and practical essentials for foreigners registering a company in Thailand. Should you have specific questions or wish to explore further details, we recommend consulting a qualified local legal advisor-preferably one licensed to practice in Thailand-and tailoring your approach to your industry profile and long-term operational strategy.

December 12, 2024The experience was very good. I was still struggling to compare it with other companies. I went to the site a few days ago and wanted to implement it as soon as possible. I didn't expect that everything exceeded my expectations. The company is very large, with several hundred square meters. The employees are also dedicated and responsible. There is also a wall of certificates. I placed an order on the spot. It turned out that I did not make a wrong choice. The company's service attitude is very good and professional. The person who contacted me explained various things in detail in advance. After placing the order, the follow-up was also very timely, and they took the initiative to report the progress to me. In short, I am very satisfied and recommend this company!
