3. The proposed company name must be checked for uniqueness in advance and formally approved by the Department of Business Development (DBD); it must not duplicate or closely resemble any existing registered name.

II. Essential Registration Documents

1. Valid Thai ID card and proof of residence for each Thai director; if a corporate entity serves as director, its registration documents and authorized representative’s identification must also be provided.

2. Full passport scans (including visa pages and immigration stamps) for all foreign shareholders, authenticated via notarization in the home country and subsequent legalization by the Royal Thai Embassy or Consulate abroad.

3. Articles of Association specifying registered capital, share structure, directors’ powers and responsibilities, and profit distribution mechanisms.

3. Upon name approval, complete and submit the online company registration form (Form Boror 20), uploading all required statutory documents simultaneously.

4. DBD reviews submitted materials-processing usually takes 3-5 working days, during which requests for supplementary information or clarifications may arise.

5. Upon approval, pay the registration fee and collect the Certificate of Incorporation and Tax Identification Number (Tax ID).

6. Visit the Revenue Department with the Certificate of Incorporation to complete corporate tax registration, obtain tax control devices, and secure invoicing authority.

7. Open a corporate bank account-this requires all directors to appear in person to sign account opening documents, and original copies of the Certificate of Incorporation, Articles of Association, and directors’ identification must be presented.

IV. Post-Registration Compliance Obligations

1. Within six months of incorporation, the company must hold its first Annual General Meeting (AGM), produce formal minutes, and file them with the DBD.

2. An annual financial statement (Form Boror 5)-including balance sheet, income statement, and directors’ report-must be filed with the DBD every year.

3. Value-added tax (VAT), withholding tax, and corporate income tax must be filed and paid monthly or quarterly, as applicable; late submissions incur penalties and negatively impact the company’s credit standing.

4. The company seal must be registered with the local police station; the financial seal and corporate seal must be separately engraved, and official imprint records retained.
