Setting up a company in Thailand is not as simple as filling out a few forms and paying a fee. Local practitioners often point out that while the process appears straightforward, each step involves practical operational hurdles-such as notarization requirements for document signing, time-sensitive verification of shareholder identities, and strict bank-imposed deadlines for the full deposit of registered capital when opening a corporate bank account.

How Many Steps Does It Take to Register a Business in Thailand? A Local’s No-Nonsense Guide to the Practical Process

Step 1: Confirm Company Type and Conduct Name Pre-Approval

1. Clearly identify the intended entity as a Limited Company-the most common and legally stable structure for foreign investors.

2. Prepare at least three alternative company names and screen them for uniqueness and compliance using the Thai Ministry of Commerce’s online database.

3. Names must not include regulated terms such as “Bank,” “Insurance,” or “Securities,” nor may they be confusingly similar to or misleadingly associated with any existing registered name.

Step 2: Design the Shareholder and Director Structure

1. A limited company must have at least one natural person shareholder, who may be a foreign national with no nationality restrictions.

2. At least one director must be a natural person residing permanently in Thailand and must provide proof of local address and a valid residence permit.

3. If foreign shareholders hold more than 50% of shares, assess whether the proposed business activities fall under restricted categories under the Foreign Business Act-and whether a Foreign Business License is required.

Step 3: Prepare Statutory Registration Documents and Obtain Notarization & Authentication

1. Identity documents of shareholders and directors must be notarized in their home country and subsequently authenticated by the Royal Thai Embassy or Consulate accredited to that country.

2. The Memorandum of Association must specify key elements including registered capital, scope of business operations, share distribution, and board powers and responsibilities.

3. All documents in foreign languages must be translated into Thai by a translation agency officially recognized by the Thai Department of Rights and Liberties (under the Ministry of Justice), and the translations must bear the agency’s official certification stamp.

Step 4: Submit Registration Application to the Ministry of Commerce

1. Submit the complete set of electronic documents via the Department of Business Development’s (DBD) e-Registration system.

2. Upon system generation of a unique application reference number, schedule an in-person appointment at a designated DBD service counter to verify original documents-including passports, address proofs, and certified translations.

3. The review period typically takes three to five business days; during this time, no amendments may be made to submitted articles of association or shareholder information.

Step 5: Collect the Registration Certificate and Complete Mandatory Post-Registration Filings

1. Upon approval, collect the official Company Registration Certificate-the legal proof of corporate personhood.

2. Within seven days, register with the Revenue Department to obtain a Tax ID Number, and simultaneously complete employer registration with both the Social Security Office and the Department of Labor.

3. The full amount of registered capital must be deposited into a Thai bank account under the company’s name within 60 days of registration, and a bank-issued confirmation of fund deposit must be obtained.

Step 6: Open a Corporate Bank Account

1. Visit a bank with the Company Registration Certificate, the director’s passport, proof of address, and the bank-issued fund deposit confirmation to open the account.

2. Most banks require the director to appear in person for signature verification; some accept video-based verification, but advance booking and adherence to technical requirements are mandatory.

3. Only after the account is activated may the company conduct outward payments, sign binding contracts, and file tax returns-i.e., engage in formal commercial activities.

The above outlines the core procedural pathway for establishing a company in Thailand. Should you have specific questions-or wish to explore sector-specific market access rules, tax filing timelines, or ongoing compliance obligations-we recommend consulting a locally licensed corporate service provider or a certified public accounting firm familiar with Thai regulatory practice.

The experience was very good. I was still struggling to compare it with other companies. I went to the site a few days ago and wanted to implement it as soon as possible. I didn't expect that everything exceeded my expectations. The company is very large, with several hundred square meters. The employees are also dedicated and responsible. There is also a wall of certificates. I placed an order on the spot. It turned out that I did not make a wrong choice. The company's service attitude is very good and professional. The person who contacted me explained various things in detail in advance. After placing the order, the follow-up was also very timely, and they took the initiative to report the progress to me. In short, I am very satisfied and recommend this company!

When I first consulted customer service, they recommended an agent to me. They were very professional and patient and provided excellent service. They answered my questions as they came in. This 2-to-1 service model is very thoughtful. I had a lot of questions that I didn’t understand, and it’s not easy to register a company in Hong Kong. Fortunately, I have you.

I originally thought that they only did mainland business, but I didn’t expect that they had been doing Hong Kong business and were doing very well. After the on-site interview, I decided to ask them to arrange the registration of my Hong Kong company. They helped me complete it very quickly and provided all the necessary information. The efficiency was awesome. It turns out that professional things should be done by professionals.👍

In order to register a company in Hong Kong, I compared many platforms and stores and finally chose this store. The merchant said that they have been operating offline for more than 10 years and are indeed an old team of corporate services. The efficiency is first-class, and the customer service is also very professional.
