I. The Registered Agent Must Hold a Valid, Active BVI Practicing License
1. The license must be issued by the BVI Financial Services Commission (FSC) and verifiable in real time on the official FSC website.
2. The license status must be “Active”-not “Suspended” or “Inactive.”
3. The agent’s legal entity name must match exactly the name registered with the FSC; abbreviations, brand names, or trading names may not substitute for the official legal name.
4. The same agent may not simultaneously provide incorporation services for multiple offshore companies without full disclosure of any related-party interests.
5. The agent must pay annual license renewal fees on time; failure to do so results in automatic license invalidation.
II. Director and Shareholder Identity Documents Must Meet Anti-Money Laundering (AML) Verification Standards
1. Passports must be official, unaltered versions issued by the competent authority-no modifications, redactions, or (composite scans) are permitted.
2. Proof of residential address must be dated within the last three months and issued by a bank, public utility provider, or government agency.

V. Annual Filings and Economic Substance Reporting Must Be Continuously Managed by the Same Licensed Agent
1. The first Annual Return must be filed no later than the exact date marking 12 months after the company’s incorporation date.
2. Economic Substance Reporting must be updated annually and include details such as the company’s actual place of business, number of employees, and description of core income-generating activities.
3. The agent must retain complete records-including all filings and supporting documentation-for a minimum of three years, readily available for FSC review upon request.
4. If changing agents, the outgoing agent must issue a formal written handover confirmation; the incoming agent must resubmit its licensing credentials for FSC (filing).
5. Failure to file the Annual Return or Economic Substance Report on time will result in the company being placed on the FSC’s “Non-Compliant” or “Struck Off” list-adversely affecting bank account opening and contractual enforceability.
