4. The company name must end with “Limited,” “Corporation,” “Incorporated,” or an approved abbreviation thereof-and must not be identical or confusingly similar to any existing active company name.

5. A clear description of the company’s business scope. Excessive detail is unnecessary, but prohibited activities-including banking, insurance, and trust services-must be excluded unless the company obtains the relevant additional licenses.

6. A statement outlining the shareholding structure, specifying each shareholder’s ownership percentage and indicating whether any shares are held on behalf of others (nominee arrangements). If nominee structures apply, a notarized power-of-attorney or delegation agreement must be submitted concurrently.

1. Individual shareholders or directors must be at least 18 years old and must not fall under any category expressly prohibited by BVI law from holding such positions.

2. When a corporate entity acts as a shareholder, it must submit its valid certificate of incorporation, constitutional documents (e.g., articles of association), and a current certificate of good standing-all duly authenticated.

3. All non-English documents must be accompanied by certified English translations. Translations must be accurate and complete-no paraphrasing, summarizing, or omission is permitted.

4. All signed documents submitted during registration must bear original handwritten signatures. Electronic signatures are accepted only within the scope explicitly authorized by the registered agent’s internal systems and do not replace the legal validity of original wet-ink signatures.

5. Anonymous shareholder structures are not permitted. Ultimate beneficial owner (UBO) information must be disclosed fully and truthfully to the registered agent, who is obligated under current BVI law to maintain such records appropriately.

Ongoing Compliance Requirements

1. Annual government fees must be paid on time; late payments incur penalties and jeopardize the company’s status as “in good standing.”

2. Any changes to company details-including directors, shareholders, or registered office address-must be filed with the Registrar of Corporate Affairs within 21 days.

3. There is no requirement to maintain a physical office or hire local staff in the BVI; however, engagement of a licensed registered agent to handle statutory obligations remains mandatory at all times.

4. Filing financial statements or undergoing audits is not mandatory. Nevertheless, complete accounting records must be retained for at least five years and made available upon request.

5. Companies engaged in cross-border fund transfers or holding overseas assets should independently assess their tax reporting obligations in relevant jurisdictions. While the BVI imposes no corporate income tax, this does not constitute global tax exemption.
