If an enterprise owner or entrepreneur based in Chengdu has registered a company in Hong Kong, they must complete the statutory Annual Return filing every year; otherwise, they may face fines-or even deregistration. Although this process is administered by the Hong Kong Companies Registry (CR), mainland-based entities often encounter pitfalls due to differences between Hong Kong and mainland regulatory frameworks-for example, mistakenly assuming that “filing profits tax returns equals completing the Annual Return” or that “no business activity means no action is required.” In reality, the Annual Return and profits tax filing are two entirely separate procedures, and the Annual Return deadline is strictly enforced.
I. What Is the Annual Return?

The Annual Return is not an audit or financial reporting exercise. Rather, it is the submission of Form NNC1 (for companies limited by shares) to the Hong Kong Companies Registry, updating core company registration particulars-including directors, shareholders, company secretary, registered office address, and share capital structure. The filing cycle commences on the company’s incorporation date one Annual Return must be filed within 42 days after each anniversary date. Late filings incur fixed penalties-HK$300 for delays up to one month; HK$1,500 if overdue by more than three months. Moreover, the CR reserves the right to list the company as “non-active,” which may jeopardize bank account renewals and other compliance-related activities.
II. How Can Entities Based in Chengdu Actually Complete This Process?
Because the Hong Kong Companies Registry does not accept postal correspondence sent directly from mainland addresses nor support remote electronic signatures by individuals, enterprises in Chengdu typically follow these steps
1. Engage a licensed Hong Kong local secretarial service provider (a legal requirement every Hong Kong company must maintain a local registered office address and appoint a statutory company secretary);
2. Provide the secretarial firm with valid, up-to-date identification documents for all directors and shareholders (e.g., Mainland Travel Permit for Hong Kong and Macao Residents, or passports), proof of residential address (e.g., utility bills or bank statements issued within the past three months), and an imprint of the company chop/stamp;
3. Confirm whether the registered office address remains unchanged If a secretarial firm’s address has previously been used as a registered office (“registered address outsourcing”), written confirmation of renewal must be submitted at least 30 days prior to expiry; failure to do so may result in CR correspondence being returned and trigger “loss-of-contact” risk;
4. Upon verification of all submitted documents, the secretarial firm will file Form NNC1 online via the CR’s Electronic Services Portal (e-Service) and simultaneously pay the prescribed filing fee (currently HK$45);
5. Upon successful submission, the CR system issues an electronic “Certificate of Delivery”; the secretarial firm must forward this certificate to the client for record-keeping within seven working days.
III. Key Compliance Pitfalls to Avoid
• Do Not Overlook Business Registration Certificate Renewal Filing the Annual Return is NOT equivalent to renewing the Business Registration Certificate (BRC). The BRC is administered separately by the Hong Kong Inland Revenue Department (IRD), has a one-year validity period, and must be renewed individually at least one month before expiry (current fee HK$2,250). Late renewal incurs a daily penalty of HK$300.
• Failure to Timely Report Shareholder Changes Constitutes High-Risk Non-Compliance Even the replacement of a single minority shareholder must be reported via Form NNC1 within 15 days of the change occurring-not deferred until the next annual filing deadline.
• Bank Account Annual Reviews Depend on Annual Return Status Major banks-including HSBC and Standard Chartered-require clients to provide both the latest Certificate of Delivery for Form NNC1 and a certified copy of the valid Business Registration Certificate. The absence of either document will impede the annual review process.
