Hong Kong Company Compliance Guide: Tax Filing, Annual Review, Company Secretary, and Registered Address-All in One
Registering a company in Hong Kong involves far more than simply obtaining a Certificate of Incorporation. Many entrepreneurs initially focus solely on incorporation, securing clients, and commencing operations-only to realize, as the tax filing deadline approaches, that they have missed their annual return submission, allowed their company secretary service to lapse (incurring penalties), or failed to maintain a valid registered office address, thereby missing critical official correspondence. These seemingly minor administrative tasks are, in fact, tightly interlinked; failure at any single point can trigger compliance risks that affect bank account usage, contractual validity, and even future fundraising efforts.

Tax Filing: Not an Annual Event, But a Fiscal-Year-Based Obligation
Hong Kong applies the territorial principle of taxation; however, all registered companies must file their Profits Tax returns on schedule. The Inland Revenue Department (IRD) issues Form BIR51 with a strict filing deadline-typically one month from the date of issuance.
1. The first tax return is usually issued by the IRD approximately 18 months after incorporation; subsequent filings follow the company’s self-determined fiscal year cycle.
2. If the company has had no business activity, it must still file a “nil return,” accompanied by a brief explanation-failing to file is not acceptable.
3. Companies with income must prepare audited financial statements, signed by a licensed public accountant, and submit them together with the tax return.
4. The e-Filing system supports online submission, but users must activate their tax representative authorization in advance.
Annual Return Filing: A Statutory Requirement to Maintain Active Registration Status
Annual return filing is not merely a fee payment-it is a mandatory annual confirmation of the company’s continued legal existence and operational status, comprising two core components: renewal of the Business Registration Certificate and submission of the Annual Return (Form NNC1).
1. The Business Registration Certificate is valid for one year. Renewal may be completed online starting one month before expiry, at a fixed fee of HK$2,250.
2. Form NNC1 must be filed within 42 days after the company’s anniversary date. Late filing incurs an initial penalty of HK$300 for the first month, with penalties increasing incrementally thereafter.
3. Any changes to directors, shareholders, company secretary, or registered office address must be updated concurrently in the form-using outdated information to fulfill this requirement is not permissible.
4. Upon submission, the latest filed records can be verified via the Companies Registry website to ensure public information matches the company’s current reality.
Company Secretary: A Statutory Role-Neither Optional Nor Nominal
Every Hong Kong company is legally required to appoint a local company secretary. This role entails statutory responsibilities including receipt of official documents, maintenance of meeting minutes, and proactive compliance reminders-its function extends well beyond administrative support.
1. The secretary may be an individual (a Hong Kong permanent resident or a person holding a valid work visa), or a licensed corporate secretarial firm.
2. The secretary must be formally registered with the Companies Registry and must retain minutes of every directors’ and shareholders’ meeting within 15 days of the meeting.
3. If the secretary resigns or is replaced, Form ND2A must be submitted to the Companies Registry within seven days to notify the change.
4. The secretary has no authority to sign banking documents or external contracts on behalf of the company; the scope of duties is strictly defined under Section 474 of the Companies Ordinance.
Registered Office Address: The Sole Legally Valid Location for Service of Documents
This address serves as the official point of delivery for government notices, court summonses, and commercial correspondence. It must be a genuine, physically accessible address in Hong Kong-a post office box does not satisfy statutory requirements.
1. Any change of registered office address must be reported to the Companies Registry within 15 days using Form NR1.
2. Multiple companies may share the same registered address, provided the address operator can reliably receive and forward mail separately and securely for each company.
3. If using a co-working space address, confirm that the provider offers compliant mail receipt, scanning, and forwarding services.
4. During bank account opening, certain financial institutions conduct on-site verification of the registered address; a fictitious or non-compliant address may result in application rejection.
The above outlines key considerations for tax filing, annual return submission, appointment of a company secretary, and management of the registered office address during ongoing operations of a Hong Kong company. Should you have specific questions-or wish to explore detailed procedural guidance-we recommend aligning these compliance milestones with your business timeline, proactively planning deadlines, and maintaining complete, auditable written records at all stages.

December 12, 2024The experience was very good. I was still struggling to compare it with other companies. I went to the site a few days ago and wanted to implement it as soon as possible. I didn't expect that everything exceeded my expectations. The company is very large, with several hundred square meters. The employees are also dedicated and responsible. There is also a wall of certificates. I placed an order on the spot. It turned out that I did not make a wrong choice. The company's service attitude is very good and professional. The person who contacted me explained various things in detail in advance. After placing the order, the follow-up was also very timely, and they took the initiative to report the progress to me. In short, I am very satisfied and recommend this company!
