How to Fill Out Hong Kong Company Director's Annual Return A Simple Guide to Key Points and Important Details
Lately, a lot of people who’ve set up companies in Hong Kong have been asking the same question What exactly is the Hong Kong director’s annual return? Do you have to file it every year? And what happens if you don’t?
These questions might sound simple, but they actually involve quite a few compliance details. Especially as the Companies Registry has stepped up its push for transparency in recent years, filing these documents on time has become a responsibility no Hong Kong company can afford to ignore.

First things first-what is this “director’s annual return”? To be precise, that term isn’t official; it’s more of a casual name used by the public. The correct formal title is the Annual Return Form NAR1. Under the Companies Ordinance, every limited company registered in Hong Kong must submit this legal document once a year. Its main purpose? To update the Companies Registry with key information about your company from the past year.
So, what kind of info needs updating? This includes your company’s registered office address, full details of current directors and shareholders, share capital structure, whether you have a company secretary, and if you’re using a registered office service. In short-no matter if your company didn’t make a single sale last year-as long as it still exists legally, you must file this form on time.
The deadline is tied to your company’s incorporation date. You need to file the Annual Return within 42 days before each anniversary of that date. For example, if your company was incorporated on May 10, 2025, you’d need to file between March 19 and May 10 every year going forward. Miss this window, and penalties kick in-not just financially, but potentially putting your company at risk of being struck off the register.
Now, some people think late fees are just a small fine-no big deal. But that’s far from true. Late filing comes with escalating penalties. If you file more than 42 days after the due date but within six months, the fine could be as high as HK$1,075. Wait longer-over six months-and it jumps to HK$3,445. And that’s not all. There are also serious risks like frozen bank accounts, damage to your company’s reputation, or even negative impacts on a director’s personal credit record.
On the bright side, the Companies Registry has made e-filing much easier. Most businesses can now complete their filings online via the e-Registry portal or the electronic submission system. This reduces delays caused by postal services and makes compliance smoother. Still, many small businesses and sole proprietors still slip up-often due to misunderstanding or simple forgetfulness.
One common misconception thinking that filing tax returns with the Inland Revenue Department means you’ve fulfilled your annual return obligation. That’s completely wrong. Tax filing and annual return filing are two separate things-one handled by the tax , the other by the Companies Registry. They serve different purposes and go to different places. Failing to file your tax return affects profits tax; failing to file your Annual Return violates the Companies Ordinance-a much more serious compliance issue.
Another often-overlooked point changes in directorship or shareholders. If you appointed a new director or added a shareholder during the year, those updates must be reflected in your Annual Return-even if you already reported them separately using forms like ND2A. The annual return is your chance to consolidate everything and ensure all records are accurate and up to date.
And let’s talk about dormant companies-the ones that haven’t traded in years. Many owners assume that since there’s no business activity, they don’t need to file anything. But unless your company has officially applied for and been granted dormant status under the relevant regulations, you’re still required to file. Otherwise, you're technically non-compliant.
How do you know if you’re up to date? Easy. Just log into the Companies Registry e-Registry, enter your company number, and check the “Latest Filing Date” and “Next Due Date.” It’ll show you clearly whether you're overdue or how much time you have left.
Here’s one final reminder don’t assume nobody will notice. Regulatory scrutiny in Hong Kong has been tightening. Back in late 2025, the Companies Registry issued a public warning that it would step up enforcement against late filers-including sending demand notices, publishing lists of delinquent companies, and even starting the process to strike names off the register. The longer you wait, the higher the cost-both financially and legally.
The Annual Return isn’t just bureaucratic red tape-it’s a crucial part of keeping your company legally alive. Think of it like an annual health check-up for your business. Keeping your information current and transparent isn’t just about following the law; it’s about protecting your own interests.
In today’s world, where data is increasingly open and oversight smarter than ever, staying compliant isn’t optional-it’s essential. So whether you’re a startup founder, a passive investor, or someone holding shares on behalf of others-mark your calendar. When that time of year rolls around, remember it’s time to file your return.

December 12, 2024The experience was very good. I was still struggling to compare it with other companies. I went to the site a few days ago and wanted to implement it as soon as possible. I didn't expect that everything exceeded my expectations. The company is very large, with several hundred square meters. The employees are also dedicated and responsible. There is also a wall of certificates. I placed an order on the spot. It turned out that I did not make a wrong choice. The company's service attitude is very good and professional. The person who contacted me explained various things in detail in advance. After placing the order, the follow-up was also very timely, and they took the initiative to report the progress to me. In short, I am very satisfied and recommend this company!
