
What Documents Do You Need to Register a Company in Malaysia? These 5 Are Absolutely Essential!
Setting up a company in Malaysia is not as simple as filling out a form and receiving a certificate. Company Name Approval Letter
A proposed company name must undergo pre-approval via the Companies Commission of Malaysia (SSM) system to ensure it does not duplicate an existing registered name or create a misleadingly similar impression. Upon approval, a unique Name Reservation Number is issued-this number serves as the foundational prerequisite for all subsequent registration steps.
1. Submit at least three alternative names, ranked in order of preference.
2. Names must not contain sensitive terms, restricted industry-related words, or expressions likely to mislead the public.
3. Non-Bahasa Malaysia names must be accompanied by a certified English translation.
4. Names incorporating terms such as “Malaysia” or “National” require additional supporting documentation.
5. Approval remains valid for 30 days; if registration is not completed within this period, a new application must be submitted.
Identity Documents for Directors and Shareholders
All directors and shareholders must provide authentic, valid identity documents. While Malaysian citizens and foreign individuals are subject to different documentary standards, both categories must satisfy the fundamental criteria of verifiability and traceability-and all signature pages must be clear and complete.
1. Malaysian citizens must submit color scanned copies of both sides of their MyKad.
2. Foreign natural persons must provide the personal information page of their passport and the most recent valid visa page.
3. If a shareholder is a corporate entity, its Certificate of Incorporation and a summary of its constitution (e.g., Memorandum and Articles of Association) must be submitted.
4. All non-English documents must be accompanied by notarized English or Chinese translations.
5. Each director must sign a “Declaration of Non-Insolvency” and complete electronic signature authentication.
Proof of Registered Office Address
The registered office address must be a genuine physical location-not a P.O. Box or virtual office address-as it serves as the official address for service of statutory notices, correspondence, and legal documents.
1. The front page and signed page of the lease agreement, clearly showing the full legal names of both lessor and lessee, along with signatures and official seals.
2. A “Letter of Consent for Use of Address,” issued by the landlord, explicitly stating permission for commercial registration purposes.
3. A recently issued utility bill (electricity/water) or assessment tax bill, dated within the past three months.
4. For owner-occupied premises, a certified copy of the land title issued by the Pejabat Tanah dan Galian (PTG).
5. The address details provided must match exactly those entered into the SSM system-including unit number, floor level, postal code, and all other relevant components.
Memorandum and Articles of Association (MAA)
The MAA is the core legal document defining the company’s governance structure, shareholders’ rights and obligations, and directors’ powers and responsibilities. It must strictly conform to the format and substantive requirements stipulated under the Companies Act 2016-generic templates cannot be submitted without customization.
1. Clearly specify the company’s share capital structure, nominal value per share, and total number of authorized shares.
2. Define precise procedures for appointing and removing directors, as well as convening and conducting board meetings.
3. Include provisions on profit distribution mechanisms, financial year commencement and closure dates, and audit arrangements.
4. Where the company operates in a regulated sector, industry-specific clauses compliant with applicable regulatory requirements must be incorporated.
5. The entire document must be signed by all founders or duly authorized representatives, with the date of signing clearly indicated.
Beneficial Ownership Declaration Form (BO Form)
Pursuant to anti-money laundering regulations, every company must disclose to the SSM the identities of natural persons who ultimately own or control the company-or who otherwise exercise significant influence over it. This declaration is legally mandatory and must be updated continuously.
1. List the full names and identification numbers (e.g., NRIC or passport number) of all natural persons holding 5% or more of the company’s shares.
2. Provide each beneficial owner’s nationality, residential address, occupation, and nature of relationship with the company.
3. Where ownership is held through multiple layers of entities, full disclosure must extend step-by-step to the ultimate natural person(s).
4. Each beneficial owner must sign an individual declaration affirming the truthfulness and accuracy of the information provided.
5. Any change in beneficial ownership must be reported to the SSM within 14 days of occurrence.
