5. The company’s Memorandum and Articles of Association must comply with the latest amendments to the BVI Business Companies Act, 2004, and must be submitted for filing by the registered agent.
6. The registered office address must be a physical address located within the BVI-not a P.O. Box-and must be provided by the registered agent, who assumes responsibility for receiving all statutory correspondence.

5. Once registered, a foreign company branch may not engage in regulated activities-including banking, trust services, or insurance-unless separately licensed by the BVI Financial Services Commission.
6. Registered Foreign Companies must file an annual return and pay a fixed annual fee. Failure to do so results in automatic lapse of registration status; reinstatement requires a formal application and regulatory review.
III. Key Ongoing Compliance Obligations
1. All BVI companies must maintain a valid registered office address and retain an active registered agent. Should the agent intend to terminate the engagement, it must provide advance notice to the company and assist with the transition to a new agent.
2. Companies must retain complete accounting records for a minimum of seven years. These records must include transaction vouchers, bank statements, contracts, and other supporting documentation. Records may be stored anywhere globally-no requirement exists for local physical storage.
3. Tax residents of jurisdictions applying Controlled Foreign Company (CFC) rules should note that while the BVI does not automatically exchange financial information, certain countries may still “look through” the BVI entity under domestic tax law to identify the jurisdiction of effective management and control.
4. Any material changes-including appointments or resignations of directors or shareholders, changes to the registered office address, or amendments to the Memorandum and Articles of Association-must be filed with the BVI Registrar of Corporate Affairs within fifteen days of occurrence, via the registered agent.
5. All BVI companies must pay their annual license fee on time. Fee tiers are determined by authorized share capital. Late payments incur penalties and may invalidate the issuance of official certificates or filings.
