What Are the Requirements for Registering a Company in Thailand? These 5 Mandatory Conditions Are Unknown to Many
Setting up a company in Thailand is not as simple as filling out a form and paying a fee. Many entrepreneurs planning to operate locally assume that hiring an agent, renting an address, and assembling the minimum number of shareholders is sufficient-only to encounter roadblocks mid-process: difficulties opening a corporate bank account, completing tax registration, or meeting ongoing compliance requirements-even after receiving their official company license, rendering the entity non-operational. This commonly stems from a lack of systematic understanding of Thailand’s statutory thresholds. Below are five non-negotiable requirements mandated by Thailand’s Civil and Commercial Code and rigorously enforced by the Ministry of Commerce, the Revenue Department, the Ministry of Labor, and other relevant authorities-requirements most applicants fail to fully grasp.

I. Minimum Shareholder and Director Structure Requirements
1. The company must have at least three natural-person shareholders, of whom at least two must be Thai nationals residing in Thailand;
2. The board of directors must consist of at least one member, and at least one director must hold a valid Thai national ID card or a long-term residence permit;
3. If foreign shareholders collectively hold more than 49% of the shares, a Foreign Business License (FBL) must be concurrently applied for-and the proposed business activity must fall within the permitted scope under Thailand’s Foreign Business Act industry list;
4. All shareholders and directors must appear in person to sign the company’s Articles of Association and registration documents; remote notarization is not accepted;
5. Each shareholder must submit a certified police clearance certificate and a documented explanation of the source of investment funds.
II. Paid-in Capital and Capital Verification Process
1. Registered capital must be fully deposited into a designated account at a licensed Thai bank, and the bank must issue an official capital verification certificate;
2. The verification funds must be deposited prior to completion of company registration and cannot be sourced from loans or third-party advances;
3. The verified amount must match the declared registered capital exactly; any discrepancy exceeding 1% invalidates the verification;
4. The bank’s verification letter must explicitly state that the funds are intended for “paid-in capital for company establishment” and bear the bank’s official corporate seal;
5. Any subsequent capital increase requires re-verification and an updated commercial registration certificate.
III. Physical Attributes and Regulatory Validity of the Registered Address
1. The registered address must be a physically existing commercial property; residential addresses, virtual offices, and co-working spaces are expressly prohibited;
2. The property owner must provide a stamped “Letter of Consent for Premises Use,” explicitly authorizing the address for company registration and tax registration purposes;
3. The address must be verifiable through the Thai Land Department’s official system and must be free of judicial seizure or mortgage restrictions;
4. If the premises are leased, the lease agreement must be valid for no less than one year and duly filed with the Revenue Department;
5. Any change of registered address must be reported to the Department of Business Development within thirty days; failure to do so jeopardizes eligibility to file annual returns.
IV. Local Operational Capacity of the Legal Representative
1. The legal representative must possess functional Thai language literacy-sufficient to independently complete and sign tax returns and labor-related documentation;
2. They must hold a valid Social Security Office (SSO) number or be enrolled in Thailand’s mandatory workmen’s compensation insurance scheme;
3. They may not serve as the legal representative for more than three companies simultaneously, as this triggers an automatic alert in government systems;
4. They must personally visit the Revenue Department each quarter to activate and confirm access to the e-filing system-no proxy filing is permitted;
5. If the legal representative is a foreign national, they must hold a valid Non-Immigrant Visa “B” and possess a work permit specifically covering the company’s business scope.
V. Industry-Specific Prior Approvals
1. Certain sectors-including education, healthcare, travel agencies, construction, and advertising-require formal approval letters from the respective regulatory ministry before company registration may commence;
2. Companies engaged in importing and selling goods must pre-register product standards with either the Thai Food and Drug Administration (FDA) or the Ministry of Industry;
3. Businesses operating online platforms must register their platform operations with the Digital Economy Promotion Agency (DEPA);
4. Company names incorporating specific technical terms or regulated industry designations require pre-approval from the Department of Business Development;
5. All prerequisite licenses and approvals must remain valid for at least the first full year following company registration.
The above constitute five categories of mandatory conditions that must be satisfied when registering a company in Thailand. Should you have related questions-or wish to explore industry-specific operational details-we recommend carefully reviewing your shareholder background, funding pathways, office arrangements, and sector-specific regulatory requirements before initiating the registration process.

December 12, 2024The experience was very good. I was still struggling to compare it with other companies. I went to the site a few days ago and wanted to implement it as soon as possible. I didn't expect that everything exceeded my expectations. The company is very large, with several hundred square meters. The employees are also dedicated and responsible. There is also a wall of certificates. I placed an order on the spot. It turned out that I did not make a wrong choice. The company's service attitude is very good and professional. The person who contacted me explained various things in detail in advance. After placing the order, the follow-up was also very timely, and they took the initiative to report the progress to me. In short, I am very satisfied and recommend this company!
