What Are the Requirements for Starting a Company in Malaysia? A Step-by-Step Guide to Registering a Local Business
Setting up a company in Malaysia is neither an unattainable goal nor a simple process that ends once forms are completed. It requires a clear understanding of local regulations, shareholder structure, entity type selection, and ongoing compliance obligations. Many mistakenly believe that having just a local address and a company name is sufficient for successful registration-yet in reality, every step-from initial preparation to obtaining the Certificate of Incorporation-involves specific statutory requirements and practical details.

I. Basic Eligibility Requirements for Registration
1. At least one director must be a Malaysian citizen or a resident holding a long-term stay visa, and must be at least 18 years of age.
2. The company must have at least one shareholder, who may be either an individual or a legal entity, with no nationality restrictions. However, foreign individuals must provide notarized copies of their passports.
3. A qualified company secretary must be appointed; this person must be either a practicing Malaysian company secretary or an authorized licensed corporate secretarial firm. Importantly, the same individual cannot serve simultaneously as the sole director and sole shareholder.
4. The company must maintain a physical registered office address in Malaysia. This address must be verifiable and genuine-post office boxes or virtual offices are not acceptable as statutory registered addresses.
5. The proposed company name must first be pre-approved through the Companies Commission of Malaysia (SSM) system. It must not duplicate any existing company name and must end with “Sendirian Berhad” or its abbreviation “Sdn. Bhd.”
II. Required Registration Documents
1. Valid identification documents-or notarized passport scans-for all directors and shareholders.
2. Proof of residential address for each director and shareholder, such as utility bills, bank statements, or official government-issued documents dated within the past three months.
3. Memorandum and Articles of Association, drafted in accordance with the latest amendments under the Companies Act 2016.
4. A lease agreement or title deed for the registered office address, along with a written consent letter from the property owner authorizing its use as the company’s registered address.
5. A formal letter of appointment for the company secretary, accompanied by proof of the secretary’s professional qualifications-both signed by the secretary and specifying the commencement date of service.
III. Key Steps in the Registration Process
1. Submit a company name availability check online via the SSM system; results are typically issued within one business day.
2. Upon name approval, prepare all required incorporation documents and submit the electronic application through the MyCoID platform.
3. After submission, the system generates a provisional reference number. Applicants must complete payment of registration fees within the stipulated timeframe.
4. The Companies Commission reviews the completeness and validity of submitted documents, focusing particularly on director eligibility, authenticity of the registered address, and compliance of the Memorandum and Articles of Association.
5. Upon successful review, the system automatically issues the official Registration Number (ROC Number) and an electronically certified Certificate of Incorporation, which holds full legal validity.
IV. Fundamental Post-Registration Compliance Obligations
1. Within 30 days of incorporation, the company must register with the Inland Revenue Board (IRB) to obtain an Employer Identification Number (if hiring staff) and/or Sales Tax/Service Tax registration numbers (where applicable).
2. The company must hold its first Annual General Meeting (AGM) within 18 months of incorporation and file its first Annual Return (Form 24) with the Companies Commission within 15 days after the AGM.
3. Financial statements and the Annual Return must be filed annually-even if the company has not yet commenced operations, it remains obligated to submit “nil returns.”
4. The company secretary is responsible for maintaining statutory registers-including the Register of Directors, Register of Members, and Register of Charges-and ensuring they remain up-to-date and accessible for inspection at all times.
5. For foreign-owned companies, additional considerations apply: certain industries impose explicit foreign equity caps, and sector-specific licensing or prior approvals may be required.
The above outlines the principal conditions and operational essentials for registering a locally incorporated company in Malaysia. If you have further questions-or wish to explore tailored solutions based on your specific business model and shareholder composition-we recommend conducting a detailed assessment aligned with your unique circumstances.

December 12, 2024The experience was very good. I was still struggling to compare it with other companies. I went to the site a few days ago and wanted to implement it as soon as possible. I didn't expect that everything exceeded my expectations. The company is very large, with several hundred square meters. The employees are also dedicated and responsible. There is also a wall of certificates. I placed an order on the spot. It turned out that I did not make a wrong choice. The company's service attitude is very good and professional. The person who contacted me explained various things in detail in advance. After placing the order, the follow-up was also very timely, and they took the initiative to report the progress to me. In short, I am very satisfied and recommend this company!
