How to Apply for U.S. Brand Registration and What Documents Are Required to Register a U.S. Company
Many business owners, when expanding into overseas markets, turn their attention to the United States-drawn both by its strong consumer purchasing power and by the maturity of its trademark protection system. In practice, however, it is common for applicants to conflate “registering a U.S. company” with “filing a brand (trademark) registration in the United States.” The former establishes a legal entity, while the latter secures exclusive trademark rights. These two processes differ fundamentally in purpose, procedure, and required documentation-and neither can substitute for the other.

U.S. Trademark Registration Process
Filing a trademark application in the United States means submitting an application to the United States Patent and Trademark Office (USPTO), with the core objective of completing examination and publication procedures through the USPTO.
1. Assess trademark registrability-including conducting a search for confusingly similar marks, evaluating distinctiveness, and confirming the mark does not fall under statutory prohibitions;
2. Determine the appropriate filing basis: either “use in commerce” (i.e., the mark is already in use in U.S. interstate or international commerce), or “intent-to-use” (ITU);
3. Prepare a clear, standardized representation of the mark: for word marks, specify the font; for design marks, supply high-resolution electronic files;
4. Complete and submit the online application via the USPTO’s Trademark Electronic Application System (TEAS), accurately entering applicant information, the relevant class(es) of goods or services, and specific items;
5. Pay the applicable filing fee(s)-fees are assessed per class, and vary depending on the TEAS filing option selected;
6. Await the USPTO’s initial examination response, typically issued within approximately three months of filing;
7. If the application is refused or requires amendment, submit a formal written response within the prescribed deadline; failure to respond timely results in abandonment;
8. Upon successful examination, the mark enters a 30-day publication period in the Official Gazette, during which third parties may file oppositions;
9. If no opposition is filed-or if any opposition is dismissed-the application proceeds to registration: applications based on actual use issue a registration certificate directly; ITU-based applications require submission of a Statement of Use (and associated fee) before registration is granted;
10. Once registered, the trademark remains valid for ten years and may be renewed indefinitely-each renewal requires submission of a Declaration of Use (and/or Excusable Nonuse) prior to expiration.
Basic Documents Required to Register a U.S. Company
Forming a company in the United States is governed at the state level, and requirements vary slightly by state-yet the general framework of required documents remains consistent.
1. Company name, compliant with the naming rules of the chosen state-typically requiring inclusion of a designated entity designation such as “Inc.” (for corporations) or “LLC” (for limited liability companies);
2. Registered agent information: must be an individual or service provider with a physical street address located within the same state;
3. Identity information for at least one member (for an LLC) or shareholder (for a corporation); U.S. citizenship or residency is not required;
4. Business address-may match the registered agent’s address and need not be a physical office location;
5. Articles of Incorporation (for corporations) or Articles of Organization (for LLCs); operating agreements or bylaws are not always mandatory for filing but are strongly recommended to define governance, roles, and responsibilities;
6. Minutes from the first board of directors or member meeting, documenting the appointment of initial officers/managers and authorizing bank account opening;
7. Application for an Employer Identification Number (EIN) from the U.S. Internal Revenue Service (IRS), required for tax reporting, banking, and hiring employees.
Common Misconceptions
Trademark registration is not equivalent to company formation: a trademark may be filed in the U.S. by an individual-even without a U.S. corporate entity. Conversely, forming a U.S. company without separately registering a trademark affords no legal protection for the brand in the United States.
1. A Chinese company may directly apply for a U.S. trademark-but must do so through a U.S.-licensed attorney who is authorized to practice before the USPTO;
2. Failure to open a U.S. bank account or file U.S. tax returns after forming a U.S. company does not affect eligibility to file a trademark application;
3. Successful trademark registration does not automatically confer rights to corresponding domain names or social media handles-these must be secured separately, via registration or negotiation;
4. Goods and services are classified according to the 11th edition of the Nice Classification; the U.S. permits multi-class applications, but each class incurs a separate filing fee;
5. To designate the United States via the Madrid System, an applicant must first have a valid national trademark application or registration in their home country-it is not possible to extend international protection to the U.S. without such a domestic foundation.
The above outlines the essential points regarding U.S. trademark registration and U.S. company formation. Should you have further questions-or wish to explore practical implementation details-we recommend aligning your intellectual property and corporate structuring strategy with your specific business stage and target market objectives.

December 12, 2024The experience was very good. I was still struggling to compare it with other companies. I went to the site a few days ago and wanted to implement it as soon as possible. I didn't expect that everything exceeded my expectations. The company is very large, with several hundred square meters. The employees are also dedicated and responsible. There is also a wall of certificates. I placed an order on the spot. It turned out that I did not make a wrong choice. The company's service attitude is very good and professional. The person who contacted me explained various things in detail in advance. After placing the order, the follow-up was also very timely, and they took the initiative to report the progress to me. In short, I am very satisfied and recommend this company!
