I. Company Name Must Be Approved

1. The name must be submitted in English and must not duplicate or closely resemble any existing registered company name.

2. Protected terms-such as “Bank”, “Insurance”, or “Royal”-are prohibited, as they are reserved for specific industries or official institutions.

3. If a Chinese name is included, its pinyin transliteration and English translation must also be submitted, and both versions will undergo separate name-search verification.

4. The name structure must clearly indicate the company type-for example, it must end with “Sendirian Berhad” (Sdn Bhd) or “Berhad” (Bhd).

II. At Least One Director Must Be a Malaysian Resident

1. Such a director must hold a Malaysian national identity card (MyKad) or a long-term residence visa (e.g., MM2H or Employment Pass).

2. The residential address must be a valid, officially registered address within Malaysia-not merely a temporary mailing address.

3. If all directors are foreign nationals, an additional local natural person meeting the residency requirement must be appointed as a nominee director.

4. The director’s identity information must be verified by the Companies Commission of Malaysia (SSM) for authenticity and validity.

III. Clear Distinction Between Authorized Capital and Paid-Up Capital

1. The statutory minimum authorized capital is RM1, with no upper limit.

2. Authorized capital need not be fully paid up at incorporation; however, the subscribed amount and contribution method must be explicitly stated in the company’s constitution.

3. For foreign-owned companies holding more than 50% equity, certain sectors impose additional regulatory timelines for capital injection.

4. Once paid-up capital is deposited into the company’s bank account, a licensed auditor must issue a formal capital verification statement, which must be retained for official inspection.

IV. Registered Office Address Must Be a Genuine Physical Premise Capable of Receiving Official Correspondence

1. The address must be physically located within Malaysia and cannot be a P.O. Box or virtual office address.

2. Documentary proof-such as title deeds, a valid tenancy agreement, or a letter of consent from the property owner-is required to substantiate the address’s legitimacy.

3. This address serves as the official legal service address; all formal notices from regulatory authorities will be delivered here.

4. Any subsequent change of registered office address must be formally notified to the Companies Commission of Malaysia within fourteen days.

V. Constitution and Shareholder Structure Must Comply with Statutory Requirements

1. The company constitution must follow the official template issued by the Companies Commission of Malaysia (SSM); core clauses may not be omitted or altered arbitrarily.

2. A private company must have a minimum of one and a maximum of fifty shareholders. Exceeding this limit requires registration as a public company.

3. Foreign individuals or overseas legal entities may serve as shareholders, provided certified copies of their identity and corporate eligibility documents are submitted.

4. All shareholder signature pages must be either notarized or witnessed by a practicing Malaysian lawyer; electronic signatures are not accepted.
