Registering a company in Singapore is often perceived by outsiders as straightforward and low-barrier. In practice, however, capital requirements and statutory conditions must still be strictly adhered to under local regulations. Many mistakenly believe that substantial upfront investment or Singaporean citizenship/residency is mandatory to get started-yet the reality is far more pragmatic and flexible.

How Much Capital Is Required to Register a Company in Singapore? What Are the Mandatory Requirements for Company Incorporation?

Share Capital Requirements

Singapore imposes no statutory minimum for the authorized share capital of a private limited company.

The standard practice is to set the authorized capital at SGD 1, fully issued in the form of ordinary shares.

No portion of the share capital needs to be paid up at incorporation; shareholders may contribute funds progressively after incorporation, based on operational needs.

For certain regulated sectors-such as financial services, education, or travel agency operations-higher paid-up capital may be mandated as part of licensing requirements.

While share capital may be denominated in any currency, the company’s constitution and financial statements must be prepared and audited in Singapore dollars (SGD).

Eligibility Criteria for Incorporators

At least one natural person aged 18 years or older must be appointed as a director.

At least one director must be a Singapore citizen, a Singapore permanent resident, or an individual holding a valid Employment Pass residing in Singapore.

A company may have one or more shareholders, who may be either individuals or corporate entities, with no nationality restrictions.

All directors and shareholders must provide certified copies of their identification documents and proof of residential address.

A qualified company secretary must be appointed; this appointment must be completed within six months of incorporation.

Registered Address and Name Requirements

The company must provide a genuine, physical local registered address-post office boxes are not permitted.

The registered address may be a commercial or residential premises, provided it can reliably receive official correspondence and accommodate potential on-site verification.

The proposed company name must be pre-approved and must not duplicate an existing business name or contain prohibited words.

If the name includes sensitive terms such as “Bank,” “Insurance,” or “Trust,” separate regulatory approval is required.

An English-language company name must end with “Pte Ltd”; a Chinese name must include the phrase “Private Limited Company.”

Constitution and Ongoing Compliance Obligations

The company must adopt a constitution compliant with Singapore’s Companies Act-either using the standard Model Constitution or submitting a custom-drafted version for registration.

Upon incorporation, the company must register with the Inland Revenue Authority of Singapore (IRAS) within the prescribed timeframe and file annual returns punctually.

An Annual General Meeting (AGM) must be held each year. Complete accounting records must be maintained, and financial statements must be audited by a licensed auditor-unless the company qualifies for audit exemption.

Any changes to company particulars-including directors, shareholders, registered address, or company secretary-must be reported to the Accounting and Corporate Regulatory Authority (ACRA) within 14 days.

A company that remains inactive for more than six consecutive months may be classified as dormant and could face involuntary striking-off.

The above outlines the key capital and statutory requirements for company incorporation in Singapore. Should you have specific questions or wish to explore further details, we recommend carefully evaluating your business model and long-term strategy when determining the optimal corporate structure and post-incorporation compliance framework.

The experience was very good. I was still struggling to compare it with other companies. I went to the site a few days ago and wanted to implement it as soon as possible. I didn't expect that everything exceeded my expectations. The company is very large, with several hundred square meters. The employees are also dedicated and responsible. There is also a wall of certificates. I placed an order on the spot. It turned out that I did not make a wrong choice. The company's service attitude is very good and professional. The person who contacted me explained various things in detail in advance. After placing the order, the follow-up was also very timely, and they took the initiative to report the progress to me. In short, I am very satisfied and recommend this company!

I originally thought that they only did mainland business, but I didn’t expect that they had been doing Hong Kong business and were doing very well. After the on-site interview, I decided to ask them to arrange the registration of my Hong Kong company. They helped me complete it very quickly and provided all the necessary information. The efficiency was awesome. It turns out that professional things should be done by professionals.👍

In order to register a company in Hong Kong, I compared many platforms and stores and finally chose this store. The merchant said that they have been operating offline for more than 10 years and are indeed an old team of corporate services. The efficiency is first-class, and the customer service is also very professional.
