How Many Trips Does It Take to Register a Company in Malaysia? A Step-by-Step Guide to Registration Procedures and Mandatory Requirements
Many people’s first reaction to registering a company in Malaysia is: “It’ll wear you out.” While the reality isn’t quite that extreme, it is essential to clearly understand the statutory steps and the logical flow of required documentation. The registration process itself is not inherently complex-what matters most is whether you grasp the legal significance and practical requirements of each step.

Mandatory Pre-Registration Requirements
1. At least one shareholder is required; this may be an individual or a corporate entity, with no nationality restrictions-but the individual must be at least 18 years old.
2. At least one director is required, who must be a Malaysian resident-that is, physically present in Malaysia for no fewer than 183 days per year.
3. A company secretary must be appointed from among licensed local individuals or entities in Malaysia; the sole director cannot simultaneously serve as the company secretary.
4. The registered office address must be a verifiable physical address within Malaysia-P.O. boxes are not acceptable.
5. The proposed company name must undergo pre-approval; it must not duplicate any existing business name and must avoid restricted or prohibited terms.
The Standard Registration Process Consists of Five Stages
1. Finalize the company structure, identify shareholders and directors, and sign all relevant authorisation documents.
2. Submit a company name availability check and reservation application to the Companies Commission of Malaysia (SSM); feedback is typically provided within one working day.
3. Draft the company’s Memorandum and Articles of Association, clearly outlining share structure, directors’ powers and responsibilities, meeting procedures, and other core governance provisions.
4. Submit the complete online registration application-including identity documents and proof of address for all shareholders and directors, as well as the secretary appointment letter.
5. Upon successful review, the SSM issues the Certificate of Incorporation and the Company Registration Number-fully digitised and paperless.
Essential Documents Required
1. Scanned copies of valid passports for all shareholders and directors. Non-Malaysian nationals must also provide copies of their visa pages or residence permits.
2. Proof of current residential address for all shareholders and directors-e.g., utility bills, bank statements, or official correspondence-issued no earlier than three months prior to submission.
3. A copy of the tenancy agreement or title deed for the registered office address, clearly indicating that the premises are approved for commercial registration purposes.
4. At least three proposed company names, ranked in order of preference, to enable swift substitution if the primary choice is rejected.
5. A signed and stamped confirmation letter from the appointed licensed company secretary firm.
Critical Post-Incorporation Compliance Obligations
1. Within 30 days of incorporation, the company must register with the Inland Revenue Board (IRB) to obtain its tax identification number.
2. If hiring employees, the employer must register with the Employees’ Provident Fund (EPF) and the Social Security Organisation (SOCSO) within seven working days of the employee’s first day of work.
3. Annual financial statements must be audited by a licensed Malaysian auditor and filed with the Companies Commission within six months after the end of each financial year.
4. An annual filing fee must be paid each year; late payment incurs penalties, and failure to pay for two consecutive years may result in compulsory deregistration of the company.
5. Company seal production and corporate bank account opening should begin immediately after receiving the Certificate of Incorporation; most banks require directors to appear in person for signature verification.
The above outlines the key procedures and mandatory requirements for company registration in Malaysia. If you have specific questions-or wish to explore further details-we recommend aligning your planning with your business model and long-term operational strategy, particularly when structuring shareholding arrangements and scheduling compliance milestones.

December 12, 2024The experience was very good. I was still struggling to compare it with other companies. I went to the site a few days ago and wanted to implement it as soon as possible. I didn't expect that everything exceeded my expectations. The company is very large, with several hundred square meters. The employees are also dedicated and responsible. There is also a wall of certificates. I placed an order on the spot. It turned out that I did not make a wrong choice. The company's service attitude is very good and professional. The person who contacted me explained various things in detail in advance. After placing the order, the follow-up was also very timely, and they took the initiative to report the progress to me. In short, I am very satisfied and recommend this company!

The merchant said that they have been operating offline for more than 10 years and are indeed an old team of corporate services.
