Starting a business in Thailand makes company registration an unavoidable first step. Yet many people discover-before even beginning the process-that information is fragmented and requirements unclear. In particular, while they hear that BOI-promoted companies enjoy significant incentives, they also worry that the eligibility criteria are overly stringent or even unattainable. In reality, success hinges not on hearsay, but on clearly understanding the foundational requirements and the true substance of the policies.

What Does It Take to Register a Company in Thailand? Is the BOI Company Threshold Really That High?

Basic Requirements for Registering an Ordinary Limited Company

1. At least one natural person shareholder, of any nationality, must be appointed; a valid passport and proof of address are required.

2. At least one local director must be appointed: either a Thai national aged 20 or older, or a foreigner holding a long-term residence permit.

3. The proposed company name must be pre-approved by the Department of Business Development; it must not duplicate any existing registered business name and must include “Company Limited” or its abbreviation “Co., Ltd.”

4. Registered capital must be fully subscribed; at least 25% must be paid up upon registration. Foreign currency contributions must be reported to the Bank of Thailand.

5. The registered office address must be a verifiable, physical business premises located in Thailand; residential addresses are generally not acceptable.

6. Statutory documents-including the Articles of Association, shareholder resolutions, and directors’ consent letters-must be submitted.

7. Upon completion of registration, the company must register with the Revenue Department to obtain a Tax ID and comply with annual financial reporting obligations.

Key Eligibility Criteria for BOI Promotion

The Board of Investment (BOI) does not designate a separate legal entity type. Rather, BOI promotion is a set of incentives granted to qualified foreign-invested enterprises based on the nature and merits of their projects-not their corporate structure per se.

Clear Industry Orientation

1. The project must fall within one of the industries explicitly encouraged under the latest BOI promotion announcements-for example, advanced manufacturing, green energy, digital services, medical technology, and education or R&D.

2. Traditional wholesale and retail trade, real estate development, and general food and beverage services are generally excluded from promotion.

3. New entities established by the same group may face restrictions if identical or highly similar projects have already received BOI approval.

Technology and Value-Added Requirements

1. The project must demonstrate technological advancement-for instance, through automated production lines, proprietary patented processes, or active participation in local R&D collaboration.

2. A concrete plan to support the local supply chain is required, including target procurement ratios, employee training programs, and a detailed list of locally sourced materials or services.

3. The number of Thai employees hired-and the proportion of Thai nationals among management-level staff-must meet industry-specific benchmarks.

Capital and Scale Constraints

1. Total investment must meet the minimum threshold stipulated for the relevant industry; these thresholds vary significantly across sectors.

2. A reasonable portion of the paid-up capital must be allocated specifically to machinery and equipment, technology transfer, or R&D expenditures.

3. Applications from purely trading businesses-with no physical operational premises or fixed asset investment-are not accepted.

Clarifying Common Misconceptions

1. BOI approval is not determined solely by the amount of registered capital; rather, it emphasizes how funds will be used and how closely the project aligns with promoted industries.

2. While foreigners may serve as the authorized signatory (managing director) in an ordinary limited company, the chairman of the board in a BOI-promoted company is typically required to be a Thai national.

3. A BOI promotion certificate is generally valid for five years; renewal requires submission of verified operational performance reports and is not automatic.

4. Even after receiving BOI approval, applicants must still complete all standard company registration procedures-the BOI application and company registration are complementary, not interchangeable, steps.

5. Specific incentives-such as corporate income tax exemptions or import duty waivers-must be applied for individually and maintained through ongoing compliance with prescribed conditions.

The above outlines key considerations for registering a company and applying for BOI promotion in Thailand. If you have further questions or wish to explore practical implementation details, we recommend evaluating your business plan against the most current BOI promoted industries list and official implementation guidelines.

The experience was very good. I was still struggling to compare it with other companies. I went to the site a few days ago and wanted to implement it as soon as possible. I didn't expect that everything exceeded my expectations. The company is very large, with several hundred square meters. The employees are also dedicated and responsible. There is also a wall of certificates. I placed an order on the spot. It turned out that I did not make a wrong choice. The company's service attitude is very good and professional. The person who contacted me explained various things in detail in advance. After placing the order, the follow-up was also very timely, and they took the initiative to report the progress to me. In short, I am very satisfied and recommend this company!

I originally thought that they only did mainland business, but I didn’t expect that they had been doing Hong Kong business and were doing very well. After the on-site interview, I decided to ask them to arrange the registration of my Hong Kong company. They helped me complete it very quickly and provided all the necessary information. The efficiency was awesome. It turns out that professional things should be done by professionals.👍

In order to register a company in Hong Kong, I compared many platforms and stores and finally chose this store. The merchant said that they have been operating offline for more than 10 years and are indeed an old team of corporate services. The efficiency is first-class, and the customer service is also very professional.
