The Business Registration Certificate Does Not Have a Fixed Validity Period
Upon incorporation, a Hong Kong company is issued a BRC with an initial validity period of either one or three years, depending on the registration term selected by the applicant at the time of application. This choice is made deliberately during submission-not assigned automatically or uniformly by the system. The certificate clearly states both the “Effective Date” and the “Expiry Date”; the interval between these two dates constitutes the actual validity period.
Note that regardless of whether the company has commenced operations, activated its bank account, or filed any tax returns, failure to renew the BRC before its expiry renders the company non-compliant with statutory registration requirements under Hong Kong law. Such non-compliance may impair the use of its bank account, undermine the legal enforceability of contracts, and jeopardize eligibility for subsequent tax filings.
Renewal Is Not Automatic
1. The BRC does not renew automatically; renewal must be initiated proactively by the company’s director(s) or an authorized representative;
2. Applications for renewal may be submitted as early as one month before the expiry date, but payment and confirmation must be completed no later than the expiry date itself;
3. Late renewal incurs late-payment penalties; if renewal remains outstanding for more than three months, the Business Registration Office may cancel the registration record;
4. Once registration lapses, reactivation requires re-application under the new registration process-not merely a replacement or supplementary filing.
Required Documents for Renewal Are Concise-but Indispensable
Since renewal does not involve changes to the company’s structure, documentation requirements are relatively streamlined-yet each item serves a specific statutory purpose:
1. A certified copy of the Certificate of Incorporation (obtainable via search at the Companies Registry);
2. Identity documents (e.g., copies of HKID cards or passports) of all current directors and shareholders;
3. Proof of the company’s registered business address (e.g., utility bills or lease agreements issued within the past three months);
4. Completed and duly signed Form IRBR205 (Business Registration Renewal Application);
5. If the company name or nature of business has changed, corresponding change notifications must be submitted concurrently.
Online Renewal Has Become the Predominant Method
Currently, over 90% of renewal applications are processed electronically. Applicants must log in to the Inland Revenue Department’s (IRD) Business Registration e-Service System using an “e-Service Password”, complete the online form, upload required documents, make payment, and receive the electronic BRC instantly. Physical certificates are no longer mailed out by default; the electronic version holds full legal equivalence to the original hard copy.
Applicants who have not yet obtained an e-Service Password must schedule an appointment at a designated IRD office at least five working days in advance. This password is uniquely linked to the company’s registration number and the authorized individual’s identity-and cannot be applied for or shared on behalf of others.
Commonly Overlooked Risk Points
Some companies, having maintained zero-activity status for extended periods, mistakenly believe that inactivity eliminates the need for renewal. Others conflate the BRC renewal deadline with the profits tax filing deadline-only realizing their BRC has expired when preparing their tax return. Still others fail to update their registered business address following relocation, resulting in rejected or delayed renewal applications.
Additionally, even if a company has ceased operations but has not been formally dissolved, it remains legally obligated to renew its BRC continuously. Failure to do so may lead to the company being classified as an “abnormal operating entity”, potentially affecting the eligibility of its directors to register future companies in Hong Kong.
