I. Confirm Company Type and Shareholder Structure
1. The most common corporate structure for foreign investors in Thailand is the private limited company, which requires at least one natural-person shareholder-this individual may be a foreign national.
2. If foreign shareholders hold more than 50% of the shares, the company must comply with specific industry restrictions; certain sectors require a Foreign Business License.
3. At least one Thai national must be appointed as a director. While this director need not participate in day-to-day operations, they must provide valid identification and proof of residential address.
4. The proposed company name must first undergo a uniqueness check and then be submitted to the Department of Business Development (DBD) for approval. It must not duplicate any existing business name and must include “Company Limited” or its abbreviation “Co., Ltd.”
II. Prepare Core Registration Documents

2. Proof of residential address for each shareholder-for example, utility bills or bank statements-issued within the past three months.

3. Signatures of all shareholders and directors must be executed in person. If traveling to Thailand is not feasible, signatories may complete notarization locally and subsequently obtain authentication from a Thai embassy or consulate in China.
4. All signature pages must be signed in blue ink by hand-printed or electronic signatures are invalid-and each page must indicate the date of signing.
IV. Submission and Post-Registration Procedures
1. Submit the complete application package-including the Articles of Association, shareholder resolution, director appointment letter, and address verification-to the Department of Business Development (DBD).
2. Upon acceptance, the DBD typically completes review within five working days. Upon approval, it issues the Certificate of Incorporation.
3. Within thirty days of receiving the Certificate of Incorporation, the company must register for tax purposes, obtain a tax identification number, and notify the local Revenue Department of its fiscal year start and end dates.
4. Within one month after incorporation, the company must open a corporate bank account. Banks will verify the company’s registration status, director identities, and the authenticity of its registered office address.
V. Ongoing Compliance Requirements
1. An audited annual financial statement must be filed every year-even if no business activity occurred-by a licensed Thai auditor and submitted to the DBD.
2. Any changes to the registered address, director appointments, or registered capital must be reported to the DBD within fifteen days of the change taking effect.
3. If hiring Thai employees, the company must register with the Ministry of Labor and enroll in the social security system. Non-compliance may jeopardize future visa applications for foreign personnel.
4. After registration, the company must engrave its official corporate seal and file the seal impression with both the DBD and its bank. Without such registration, legally binding external documents cannot be executed.
