Is Your Singapore Company Exempt from Audit? Understand These Eligibility Criteria First
After registering a company in Singapore, many business owners wonder: Does my company need to undergo an annual audit? Is it possible to skip this step altogether? The answer is not a simple “yes” or “no”-it depends on a set of clearly defined statutory criteria. Understanding these thresholds affects not only compliance costs but also financial planning and the timeline for filing annual returns.

Which Companies Are Eligible for Audit Exemption
Section 205B of Singapore’s Companies Act explicitly states that qualifying “small companies” may be legally exempt from appointing an auditor to conduct an annual audit of their financial statements. However, “small” is not a subjective label-it is strictly defined by three objective, cumulative criteria, all of which must be met.
Criterion One: Annual Turnover Limit
1. The company’s revenue for the preceding financial year must not exceed the prescribed threshold;
2. This threshold applies at the consolidated financial statement level; if the company is part of a group, the group’s total revenue must be used;
3. Turnover is determined in accordance with applicable accounting standards and excludes amounts collected or paid on behalf of third parties (e.g., GST).
Criterion Two: Total Asset Limit
1. As of the financial year-end, the company’s total assets-measured at their carrying amount-must not exceed the prescribed threshold;
2. Total assets include both current and non-current assets, presented in accordance with International Financial Reporting Standards (IFRS);
3. Where applicable, assets of subsidiaries, associates, and joint ventures must be included in the consolidated financial statements using the equity method.
Criterion Three: Employee Headcount Requirement
1. The number of full-time employees must not exceed the prescribed limit;
2. Only individuals employed under employment contracts governed by Singapore law and physically working in Singapore are counted;
3. Seconded staff, outsourced service providers, and part-time employees are excluded from this count.
Exemption Does Not Mean Release from All Financial Obligations
Even if a company satisfies all three criteria above, it remains obligated to prepare complete financial statements compliant with Singapore Financial Reporting Standards (SFRS) and to have them signed by the directors, who must declare that the statements present a true and fair view of the company’s financial position. Unaudited financial statements must still be filed together with the annual return to the Accounting and Corporate Regulatory Authority (ACRA).
Mandatory Audit Requirements in Specific Circumstances
The following situations require an audit-even if the company otherwise meets the small-company criteria:
1. The company operates in a regulated industry-for example, as a licensed fund manager, payment institution, or credit provider;
2. Its constitution expressly requires periodic audits;
3. Shareholders pass a special resolution mandating an audit for a particular financial year;
4. The company has been placed on ACRA’s list of entities subject to enhanced scrutiny.
How to Confirm Ongoing Eligibility for Audit Exemption
1. At the end of each financial year, reassess all three criteria against the most recently applicable thresholds;
2. If the company exceeds any one criterion for two consecutive financial years, it must commence audits starting in the third financial year;
3. Following changes to the financial year-end, business restructuring, or equity realignment, recalculate eligibility for exemption;
4. When the scope of consolidation changes, update the group-level assessment accordingly.
The above outlines the core logic and practical considerations governing audit exemption for Singapore-registered companies. If you have specific questions or wish to explore how these rules apply to your situation, we recommend cross-checking your latest financial-year data against the statutory thresholds-and, where necessary, consulting a locally licensed accounting service provider.

December 12, 2024The experience was very good. I was still struggling to compare it with other companies. I went to the site a few days ago and wanted to implement it as soon as possible. I didn't expect that everything exceeded my expectations. The company is very large, with several hundred square meters. The employees are also dedicated and responsible. There is also a wall of certificates. I placed an order on the spot. It turned out that I did not make a wrong choice. The company's service attitude is very good and professional. The person who contacted me explained various things in detail in advance. After placing the order, the follow-up was also very timely, and they took the initiative to report the progress to me. In short, I am very satisfied and recommend this company!
