I. At Least One Local Resident Director Is Required

1. This director must be a Singapore citizen, a Singapore permanent resident, or a foreign national holding a valid Employment Pass.

2. Individuals holding only a tourist visa, student pass, or short-term visit pass are ineligible to serve as directors.

3. If no qualified natural person is available, a licensed corporate secretarial firm must be engaged to provide a compliant nominee director service.

4. The director must be at least 18 years of age and must not have been declared bankrupt or disqualified by a court from holding directorship positions.

II. A Valid Physical Registered Address in Singapore Is Mandatory

1. A P.O. Box, virtual mailbox, or residential address (unless explicitly approved by the Urban Redevelopment Authority for commercial use) cannot be used.

2. The address must be physically located within Singapore and capable of receiving official correspondence from government agencies and regulatory authorities.

3. Any change of registered address must be formally updated with the Accounting and Corporate Regulatory Authority (ACRA) within 14 days of the change.

4. Certain co-working spaces or business centers offer compliant registered addresses-but only if they hold proper licensing and a formal service agreement is signed.

III. Company Name Must Pass Rigorous Pre-Approval

1. The proposed name must not duplicate, or be confusingly similar to, any existing registered entity.

2. Protected terms-including “Bank,” “Insurance,” “Securities,” and other industry-specific words requiring separate licensing-are prohibited unless accompanied by the relevant regulatory approval.

3. Names containing sensitive, offensive, vulgar, or otherwise socially unacceptable language are strictly disallowed.

4. English names must end with “Pte Ltd”; Chinese names must end with “Private Limited” or “Privately Limited.”

IV. Share Capital Must Be Fully Subscribed and Meet Minimum Requirements

1. The statutory minimum paid-up capital is SGD 1-but the actual amount should reflect the scale and nature of the company’s intended operations.

2. Capital may be contributed in cash, equipment, intellectual property, or other valuated assets-provided clear evidence of ownership is submitted.

3. For non-cash contributions, an independent third-party valuation report is required.

4. Once registered, share capital becomes part of the company’s balance sheet and cannot be withdrawn or reduced without formal legal procedures.

V. A Licensed Corporate Secretary Must Be Appointed

1. The secretary must be either a Singapore citizen, permanent resident, or foreign national holding a valid Employment Pass-or a licensed corporate secretarial services provider.

2. The first secretary must be appointed within six months of company incorporation.

3. Key responsibilities include maintaining statutory registers, organizing board meetings, filing annual returns, and providing timely compliance reminders.

4. Failure to appoint a secretary on time-or secretary negligence-may result in the company being placed on ACRA’s “Defaulters’ List,” jeopardizing banking access and operational continuity.
