How to Register a Company in the Cayman Islands: Requirements and Authorized Share Capital Explained
The Cayman Islands, as one of the world’s leading offshore financial centers, has long attracted a large number of enterprises to establish holding companies, fund vehicles, or special-purpose entities there. Its robust legal system, tax-neutral environment, strong confidentiality protections, and high compatibility with international listing requirements make it a common choice in cross-border corporate structuring. However, registration is not merely a matter of submitting documents-it requires careful planning aligned with actual business needs and regulatory compliance.

Basic Registration Requirements
1. At least one shareholder-either an individual or a legal entity-with no restrictions on nationality or place of residence.
2. At least one director, who may also serve as a shareholder; no nationality or residency requirements apply.
3. Appointment of a licensed registered agent in the Cayman Islands is mandatory, responsible for receiving legal notices and maintaining statutory company records.
4. The company name must end with terms such as “Limited,” “Corporation,” or “Incorporated,” and must not duplicate an existing registered name or include prohibited words.
5. There is no requirement to maintain a physical office or hire local employees in the Cayman Islands.
Authorized Share Capital and Share Structure
1. The statutory minimum authorized share capital is USD 50,000; however, the issued share capital may be as low as USD 1 or a single ordinary share.
2. Share capital need not be paid up, nor is there any requirement for capital verification; timing and method of contribution are determined solely by the company’s memorandum and articles of association under the subscription-based model.
3. Multiple classes of shares may be issued, including no-par-value shares, preference shares, redeemable shares, and shares with differentiated voting rights.
4. The register of shareholders is not publicly accessible nor filed with any government authority; it is maintained confidentially by the registered agent within the Cayman Islands.
Standard Registration Process
1. Select and reserve a company name, subject to name search and pre-approval through the registered agent.
2. Execute the Memorandum and Articles of Association, specifying share structure, directors’ powers, and governance mechanisms.
3. Submit complete application documents to the Cayman Islands Registrar of Companies, including identification and address proofs of directors and shareholders, along with the registered agent’s confirmation letter.
4. Upon approval, the Registrar issues the Certificate of Incorporation-typically within three working days.
5. Concurrently, the registered agent provides corporate seals, share certificates, and the first board resolution, among other foundational governance documents.
Ongoing Compliance Obligations
1. An annual fee must be paid to the Cayman Islands Registrar of Companies; failure to pay on time incurs late penalties and may jeopardize the company’s active status.
2. The registered agent service must be continuously maintained; the agent updates the company’s registered details and forwards official correspondence.
3. Entities carrying out relevant activities have been required since 2021 to satisfy the Economic Substance requirements and file annual economic substance declarations.
4. Corporate books and minutes of meetings must be properly retained by the directors for a minimum of five years.
5. Entities engaged in private fund operations or other regulated activities must separately obtain licensing approval from the Cayman Islands Monetary Authority (CIMA).
The above outlines the core considerations for company formation in the Cayman Islands. Should you have further questions-or wish to explore optimal structuring options, shareholding pathways, or multi-jurisdictional coordination strategies tailored to specific business models-we recommend engaging a professional firm with proven offshore experience, aligning your corporate setup closely with your commercial objectives and long-term operational strategy.

December 12, 2024The experience was very good. I was still struggling to compare it with other companies. I went to the site a few days ago and wanted to implement it as soon as possible. I didn't expect that everything exceeded my expectations. The company is very large, with several hundred square meters. The employees are also dedicated and responsible. There is also a wall of certificates. I placed an order on the spot. It turned out that I did not make a wrong choice. The company's service attitude is very good and professional. The person who contacted me explained various things in detail in advance. After placing the order, the follow-up was also very timely, and they took the initiative to report the progress to me. In short, I am very satisfied and recommend this company!
