Everything You Need to Know About Registering a Company in Malaysia: A Step-by-Step Guide
Setting up a company in Malaysia is not merely a matter of having an idea-it requires careful execution. From eligibility requirements to document preparation, from company name approval to the final issuance of the business license, each step comes with clear regulatory requirements and practical details. Overlooking any single requirement may stall the registration process midway.

I. Eligibility Requirements for Registrants
1. At least one shareholder may be a foreign natural person or legal entity; Malaysian residency is not required.
2. At least one director must be a Malaysian resident and at least 18 years of age.
3. The company secretary must be a Malaysian citizen or permanent resident and hold formal professional certification as a company secretary.
4. The same individual may serve as both shareholder and director; however, the company secretary cannot simultaneously act as a director or shareholder.
5. There are no restrictions on foreign ownership-100% foreign equity is permitted.
II. Company Types and Naming Requirements
1. The most common corporate structure is the private limited company (“Sdn. Bhd.”), which has independent legal status and limits shareholders’ liability to their subscribed share capital.
2. The company name must end with “Sendirian Berhad” or its abbreviation “Sdn. Bhd.”
3. The proposed name must not duplicate any existing registered business name, nor may it contain misleading, sensitive, or protected terms.
4. The name must be pre-checked and formally approved via the Companies Commission of Malaysia (SSM) online system before use.
5. If the name includes words in languages other than English, certified translations and a justification for usage must be submitted.
III. Required Registration Documents
1. Valid passport copies (for non-Malaysian nationals) or MyKad identity cards (for Malaysian nationals) for all shareholders and directors.
2. Proof of residential address for each shareholder and director-e.g., utility bills or bank statements-issued within the past three months.
3. A company constitution (Constitution), either using SSM’s standard template or a customized version.
4. Proof of registered office address-a verifiable physical address in Malaysia (P.O. boxes are not accepted).
5. A letter of appointment for the company secretary, along with supporting evidence of their professional qualifications.
IV. Key Registration Process Steps
1. Conduct a name availability check and obtain formal name approval-results are typically provided within one business day.
2. Submit the online application form (Form 24) and all supporting documents through SSM’s e-filing platform.
3. Pay the prescribed registration fee and retain the official payment receipt-the fee varies according to authorized share capital.
4. SSM reviews the application; approval and issuance of the Certificate of Incorporation generally take five to ten working days.
5. Upon incorporation, obtain the company seal, open a corporate bank account, register for taxation, and complete mandatory statutory registrations-including the Employees’ Provident Fund (EPF) and Social Security Organization (SOCSO) contributions.
V. Post-Registration Compliance Obligations
1. The company must appoint an auditor within one month of incorporation and submit audited financial statements within six months after the end of each financial year.
2. An annual return (Form 29) must be filed with SSM every year, updating information on directors, the company secretary, shareholders, and the registered office address.
3. All companies are required to maintain statutory registers, including the register of members, register of directors, register of secretaries, and minutes books.
4. Businesses operating in regulated sectors-such as finance, education, food & beverage, or import/export-must obtain additional industry-specific licenses or permits.
5. Corporate tax is levied on taxable profits and must be filed within seven months after the close of the accounting period.
The above outlines the core conditions and procedural essentials involved in registering a company in Malaysia. Should you have specific questions-or wish to explore sector-specific entry requirements-we recommend tailoring your compliance roadmap to your business’s unique operational profile.

December 12, 2024The experience was very good. I was still struggling to compare it with other companies. I went to the site a few days ago and wanted to implement it as soon as possible. I didn't expect that everything exceeded my expectations. The company is very large, with several hundred square meters. The employees are also dedicated and responsible. There is also a wall of certificates. I placed an order on the spot. It turned out that I did not make a wrong choice. The company's service attitude is very good and professional. The person who contacted me explained various things in detail in advance. After placing the order, the follow-up was also very timely, and they took the initiative to report the progress to me. In short, I am very satisfied and recommend this company!

The merchant said that they have been operating offline for more than 10 years and are indeed an old team of corporate services.
