How to Register a Company in Thailand: No Passport, No Local Director, and No Physical Office Required
Don’t assume that setting up a company in Thailand is prohibitively difficult-requiring your physical presence, a leased office space, local shareholders, or even a Thai passport to get started. In reality, these perceptions are outdated. The registration process has been continuously streamlined, policies have become more adaptive, and many steps now support remote execution and flexible alternatives.

Basic Eligibility Requirements
1. At least one natural person or legal entity must serve as a shareholder; nationality is unrestricted, and neither a Thai passport nor a long-term residence visa is required.
2. The company must appoint at least one director, who may be a foreign national. There is no requirement for the director to reside permanently in Thailand or to provide proof of a local residential address.
3. The roles of shareholder and director may overlap-i.e., the same individual may serve as both shareholder and director-without any mandatory separation of roles.
4. Registered capital must be clearly declared. The required paid-up ratio varies by industry; for certain business types, partial payment is permitted, with the initial contribution potentially as low as the statutory minimum.
5. The company name must be pre-approved by the Ministry of Commerce. It must not include restricted terms-such as “Bank,” “Insurance,” or “Trust”-which require separate regulatory licenses.
Practical Flexibility Regarding Localisation Requirements
1. Thai law does not mandate a physical office. However, a registered address capable of receiving official correspondence from government departments is required. This address may be provided-and compliance responsibilities assumed-by a licensed service provider.
2. Hiring a local employee to act as the company’s representative is not required. Directors may carry out all duties remotely, including signing documents and participating in board resolutions.
3. A local shareholder is not mandatory: foreign ownership may reach 100%, except in specifically restricted sectors-such as media, transportation, and land-related activities-where special regulations apply.
4. Company seals and signature specimens required for bank account opening can be verified via certified remote video witnessing. Some banks also offer online preliminary document review.
Overview of the Core Registration Process
1. Select an appropriate company structure-most commonly a Private Limited Company-suitable for the vast majority of commercial operations.
2. Submit a company name reservation and uniqueness check; results are typically available within one business day.
3. Prepare foundational documents-including draft Articles of Association, identification documents for shareholders and directors, and proof of registered address. Non-Thai-language documents must be notarised and translated into English.
4. File the registration application with the Thai Ministry of Commerce. Once all documents are complete, the statutory review period is three to five business days.
5. Collect the Certificate of Incorporation and Tax Identification Number (Tax ID); simultaneously complete filings with the Social Security Office and the Department of Labour (if employees are engaged).
Key Post-Registration Compliance Considerations
1. After incorporation, the company must file corporate income tax, value-added tax (if applicable), and withholding tax returns within prescribed deadlines.
2. Annual financial statements must be submitted each year, audited by a licensed auditor, and filed with the Ministry of Commerce alongside updates to any changes in company information.
3. Once activated, the corporate bank account should remain active; prolonged inactivity may result in freezing or closure.
4. For import/export activities, separate applications for a Customs Identification Number and product classification permits are required-these fall outside the scope of the company registration process itself.
The above outlines the key practical aspects of company registration in Thailand. If you have specific questions-or wish to explore further details-we recommend evaluating your optimal registration pathway and related support services in light of your business model and long-term operational plans.

December 12, 2024The experience was very good. I was still struggling to compare it with other companies. I went to the site a few days ago and wanted to implement it as soon as possible. I didn't expect that everything exceeded my expectations. The company is very large, with several hundred square meters. The employees are also dedicated and responsible. There is also a wall of certificates. I placed an order on the spot. It turned out that I did not make a wrong choice. The company's service attitude is very good and professional. The person who contacted me explained various things in detail in advance. After placing the order, the follow-up was also very timely, and they took the initiative to report the progress to me. In short, I am very satisfied and recommend this company!
