
What Are the Requirements for Registering a Company in Malaysia? Don’t Miss These 5 Mandatory Conditions
Setting up a company in Malaysia may appear straightforward at first glance, but in practice, it involves numerous intricate details. Many applicants encounter repeated document resubmissions, delayed business commencement, or even outright registration failure-often due to overlooking fundamental eligibility requirements. Understanding the actual, non-negotiable conditions is far more critical than submitting documents blindly.

I. Shareholder and Director Eligibility Requirements
1. At least one natural person must serve as a director, and such director must be at least 18 years of age.
2. A director need not be a Malaysian citizen or permanent resident, but must provide a valid passport and proof of residential address.
3. A company may have one or more shareholders-either individuals or corporate entities-with no nationality restrictions.
4. Registration remains permissible even if all shareholders are non-residents; however, a local registered agent must be appointed to handle statutory correspondence and filings.
5. The same individual may serve simultaneously as both shareholder and director, but a single identity document cannot be used repeatedly to satisfy multiple identity verification requirements.
II. Company Name Compliance Review
1. The proposed name must not be identical to, or substantially similar to, any already-registered company name, protected trademark, or official government agency name.
2. If the name includes restricted terms such as “Bank,” “Insurance,” or “Trust,” prior written approval from the relevant regulatory authority is mandatory.
3. The name must not contain unlawful, discriminatory, inflammatory, or otherwise public-order-violating language.
4. English names must use Roman script; Chinese names require formal approval and must be officially recorded in the Companies Commission of Malaysia (SSM) registry system.
5. Name reservation approval is valid for 30 days; if registration is not completed within this period, a new name search application must be submitted.
III. Verification of Registered Address Authenticity
1. A physical address located within Malaysia is mandatory; post office boxes are not acceptable as registered addresses.
2. The address must be capable of receiving official correspondence and legal documents, and must be accompanied by a letter of consent from the property owner or authorized management party.
3. If a co-working space or virtual office service is used, the provider must hold valid operating licenses and cooperate fully in completing address verification procedures.

IV. Preparation of Constitution and Organizational Documents
1. A constitution compliant with the Companies Act 2016 must be drafted, clearly specifying shareholding structure, directors’ powers and duties, and meeting procedures.
2. All founding shareholders and directors must sign both the “Declaration of Share Subscription” and the “Consent to Act as Director.”
3. Non-English documents must be accompanied by certified translations into either English or Bahasa Malaysia; translated content must accurately reflect the original meaning.
4. Signature pages must include full handwritten signatures, dates of signing, and identification document numbers-electronic seals are not permitted in place of original signatures.
5. The constitution must not include clauses that contravene statutory minimum standards-for example, provisions denying shareholders’ rights to inspect financial records or exempting directors from their fiduciary duties.
V. Share Capital and Contribution Obligations
1. Private limited companies face no statutory minimum share capital requirement; however, the declared amount should realistically reflect the company’s operational needs.
2. Share capital may be subscribed entirely in cash or partially in non-cash assets-including tangible property or intellectual property-provided such non-cash contributions undergo independent valuation.
3. Under the subscription-based system, immediate full payment is not mandatory; however, the constitution must explicitly state the contribution schedule and method, and subscribers remain legally liable for their committed amounts.
4. For industries subject to foreign equity caps, additional documentation-including sector-specific entry justification and proof of funding sources-is required.
5. Share capital is denominated in Malaysian Ringgit (MYR) by default; contributions in foreign currency must be converted at the exchange rate prevailing on the date of fund receipt, with the conversion basis clearly stated.
