1. In most industries, foreign ownership is capped at 49%; the remaining 51% must be held by Thai nationals or Thai legal entities.

2. A limited number of specific sectors permit 100% foreign ownership, but only after passing the Ministry of Commerce’s foreign investment review process-and subject to additional conditions related to technology transfer, local employment generation, export performance, and other criteria.

3. If the intended business falls under activities regulated by the Foreign Business Act-such as retail trade, real estate brokerage, or travel agency services-a Foreign Business License must be obtained prior to commencing operations; otherwise, such activities are strictly prohibited.

Local Director and Legal Representative Requirements

1. A Thai company must appoint at least one director who is a Thai national. This individual must actively perform directorial duties-not merely serve as a nominal figurehead.

2. Foreign nationals may serve as directors; however, if all directors are foreign, the company registration cannot be completed.

3. The company’s legal representative must be a resident of Thailand and must provide verifiable evidence of long-term residence in the country-such as a valid Thai residence permit or documented visa history.

Registered Capital and Capital Contribution Requirements

1. Registered capital must be denominated in Thai Baht and must be commensurate with the company’s scope of operations and scale-artificially low amounts are not acceptable.

2. While full payment is not required at the time of registration, the initial capital contribution must be no less than 25% of the registered capital. This amount must be verified by a Thai bank and officially documented within a specified timeframe following company incorporation.

3. Once determined, registered capital cannot be reduced easily: any reduction requires a shareholder resolution, formal public announcement, and involves a complex, time-consuming administrative process.

Registered Office Address and Operational Obligations

1. The registered office address must be a verifiable commercial premises; residential addresses are generally not accepted.

2. A valid lease agreement and a letter of consent from the property owner must be submitted. In certain districts, additional documentation-such as a site-use permit issued by the local municipality-may also be required.

3. After incorporation, the company must file tax returns on schedule, submit annual financial statements, and maintain complete and accurate accounting records. Failure to comply may jeopardize work permit renewals and compromise the company’s overall regulatory standing.

Documentation Requirements for Chinese Citizens

1. Original passport plus a certified Thai translation-both documents must undergo dual certification by either the Royal Thai Embassy or Consulate General in China, or by a Thai notary public.

2. Certificate of No Criminal Record, issued by competent Chinese public security authorities, followed by triple certification (by the Chinese Ministry of Foreign Affairs and the Royal Thai Embassy or Consulate General in China).

3. Bank reference letter confirming the applicant’s stable financial capacity; the letter must have been issued no more than three months prior to submission.
