The Cayman Islands, a globally renowned offshore financial center, consistently attracts a large number of companies seeking to establish holding companies, fund vehicles, or special purpose entities (SPEs). Many hear that registration requirements are low and the process is fast-but just how low are those thresholds? Is it truly possible to register with zero paid-up share capital? And what practical constraints lie beneath the surface? Misconceptions remain widespread.

How Low Is the Incorporation Threshold for Cayman Islands Companies? Is Paid-Up Capital Really Not Required?

What “Low Entry Barriers” Actually Mean

“Low barriers” primarily refer to relaxed legal formalities-no mandatory local office, no corporate income tax or capital gains tax, no compulsory audit or tax filing (for companies not conducting business locally), and short registration timelines. However, this does not mean there are no compliance fundamentals.

Basic Registration Requirements

1. A licensed registered agent-approved by the Cayman Islands Monetary Authority (CIMA)-must be appointed as the company’s statutory point of contact.

2. At least one director is required; this may be an individual or a legal entity, with no restrictions on nationality, residency, or duration of residence.

3. At least one shareholder is required; the same person or entity may serve as both director and shareholder. Anonymous ownership is permitted via nominee arrangements governed by a nominee agreement.

4. The company name must end with “Limited,” “Ltd.,” “Corporation,” or “Incorporated,” and must not contain prohibited or sensitive terms.

5. Valid identification documents and proof of address are required for Know Your Customer (KYC) due diligence; such documents must be certified or notarized.

Share Capital and Paid-Up Requirements

Cayman Islands companies operate under an authorized share capital regime-not a statutory minimum capital requirement. The authorized share capital stated in the company’s Memorandum and Articles of Association is nominal only and does not impose any obligation to contribute funds.

1. Standard exempted companies typically specify an authorized share capital of USD 50,000-but this amount need not be funded.

2. Shares may be issued at the shareholders’ discretion, and liability attaches only to issued (not authorized) shares.

3. Unissued shares incur no fees, reporting obligations, or regulatory burdens.

4. While not mandated under Cayman Islands company law, certain third parties-including banks, regulators overseeing fund registration, or licensing authorities-may require evidence of capital contribution when opening accounts, registering funds, or applying for specific licenses.

Ongoing Compliance Obligations

1. An annual government fee must be paid through the registered agent; failure to do so risks the company being struck off the register.

2. The registered office address and registered agent services must remain continuously active and valid.

3. Companies engaging in regulated activities-such as fund management or lending-must obtain separate licenses and meet corresponding capital and governance requirements.

4. Since 2020, the Economic Substance Law has applied to companies carrying out “relevant activities.” It mandates genuine local substance-such as adequate employees, operating expenditure, and physical presence-but imposes no capital-related conditions. Non-compliance may jeopardize the company’s continued existence.

The above outlines key facts regarding core registration requirements and share capital arrangements for Cayman Islands companies. If you have further questions-or wish to explore operational implications tailored to your specific business model and intended use-we recommend carefully evaluating your registered agent’s credentials, alignment with economic substance requirements, and long-term maintenance costs.

The experience was very good. I was still struggling to compare it with other companies. I went to the site a few days ago and wanted to implement it as soon as possible. I didn't expect that everything exceeded my expectations. The company is very large, with several hundred square meters. The employees are also dedicated and responsible. There is also a wall of certificates. I placed an order on the spot. It turned out that I did not make a wrong choice. The company's service attitude is very good and professional. The person who contacted me explained various things in detail in advance. After placing the order, the follow-up was also very timely, and they took the initiative to report the progress to me. In short, I am very satisfied and recommend this company!

When I first consulted customer service, they recommended an agent to me. They were very professional and patient and provided excellent service. They answered my questions as they came in. This 2-to-1 service model is very thoughtful. I had a lot of questions that I didn’t understand, and it’s not easy to register a company in Hong Kong. Fortunately, I have you.

I originally thought that they only did mainland business, but I didn’t expect that they had been doing Hong Kong business and were doing very well. After the on-site interview, I decided to ask them to arrange the registration of my Hong Kong company. They helped me complete it very quickly and provided all the necessary information. The efficiency was awesome. It turns out that professional things should be done by professionals.👍

In order to register a company in Hong Kong, I compared many platforms and stores and finally chose this store. The merchant said that they have been operating offline for more than 10 years and are indeed an old team of corporate services. The efficiency is first-class, and the customer service is also very professional.
