3. For a Limited Liability Company (LLC), the maximum number of shareholders is 50, and at least one shareholder must hold a UAE residence visa or possess local service agent credentials.

4. Anonymous shareholder structures are not permitted. All ultimate beneficial owner (UBO) information must be disclosed truthfully and submitted to the commercial registry system.

II. Registered Address and Office Space Requirements

1. A physical office address approved by relevant authorities is mandatory. Free zone companies may use the registered address provided by their respective free zone authority.

2. Companies registered outside free zones (i.e., in mainland Dubai, excluding DMCC or DIFC) must lease commercial premises registered with the Dubai Department of Economic Development (DED) and submit both the lease agreement and a no-objection letter from the property owner.

3. Virtual office services are permissible only for certain license types and cannot substitute the statutory registered address for bank account opening or official government filings.

4. The registered address must be physically located within Dubai; overseas addresses or mail-forwarding services lack legal validity.

III. Licensing and Scope-of-Activity Restrictions

1. The company’s business activities must be explicitly specified-not vague terms such as “all kinds of business” or “comprehensive services”-but precise, industry-specific descriptions.

2. Professional services (e.g., accounting, law, healthcare) require additional approvals from the relevant sectoral regulatory authority, and often mandate engagement of a licensed local partner or advisor.

3. Import/export trading activities must clearly state the categories of goods on the trade license; customs pre-approval and product compliance certification may also apply.

4. Digital businesses (e.g., SaaS platforms, content distribution) must determine whether they fall under telecommunications regulation; certain scenarios require a license from the Telecommunications Regulatory Authority (TRA).

IV. Local Compliance Support Roles

1. Non-UAE nationals establishing a mainland company must appoint a local service agent-a role that does not involve operational involvement but fulfills statutory liaison duties.

2. Free zone companies are exempt from appointing a local service agent; however, the free zone authority will designate an official representative to handle governmental interactions.

3. The local service agent must sign a legally binding agency agreement, and their identity and contact details must be formally registered with the commercial registry.

4. Upon termination of the agency relationship, the company must complete the required change-of-record filing within the stipulated timeframe; failure to do so may invalidate the trade license.

V. Ongoing Compliance Obligations

1. All companies must renew their commercial license annually; failure to do so incurs late fees and may disrupt normal banking operations.

2. Annual financial statements must be filed on schedule; certain license types additionally require audit by a UAE-licensed auditor.

3. Once employee headcount exceeds a defined threshold, registration with the Ministry of Human Resources and Emiratisation (MOHRE) and enrollment in the UAE social security system become mandatory-otherwise, work visas cannot be processed.
