What Documents Do You Actually Need to Register a Company in Malaysia? These 5 Mandatory Requirements Trip Up 90% of First-Time Entrepreneurs
Setting up a company in Malaysia is not as simple as engaging an agent, filling out a few forms, and paying a fee. In reality, every step-from eligibility requirements to document specifics, from local compliance to ongoing statutory obligations-has clearly defined thresholds. Many applicants only realize their registration has failed after submission, discovering that the root cause lies in the initial documentation phase: missing pages or stamps, inconsistent signature logic, or non-circular address information. Below are five mandatory requirements-the most frequent reasons for application rejections by the Companies Commission of Malaysia (SSM). At least three of these trip up 90% of first-time applicants.

I. Company Name Must Pass Dual Name-Search and Semantic Review
1. The proposed name must avoid all conflicts with existing registered company names, protected trademarks, and prohibited terms-not merely pass an agent’s preliminary system check.
2. If the name includes English words, applicants must provide the definition of each such word from a mainstream English dictionary, along with an explanation of its common usage context.
3. For Chinese names, full Pinyin transliteration (character-by-character) and a simplified Chinese version must be submitted; variant characters or self-coined compound terms are strictly prohibited.
II. Identity Documents for Directors and Shareholders Are Subject to Jurisdictional Validity Restrictions
1. Non-Malaysian nationals serving as directors must hold passports valid for at least six months, issued by countries not listed on SSM’s restricted jurisdictions list.
2. Where a shareholder is a foreign-incorporated entity, applicants must submit its latest valid Certificate of Incorporation, Memorandum and Articles of Association, and documents bearing both apostille and Malaysian consular certification (dual authentication).
3. All identity documents issued in languages other than English or Bahasa Malaysia must be translated page-by-page by a certified translation agency, with seam seals applied across all pages. Summary translations alone are unacceptable.
III. Registered Address Must Be Physically Verifiable and Legally Serviceable
1. A post office box, shared workspace unit number, or virtual office address is invalid. The address must specify floor level, unit number, and building name with precision.
2. Proof of address must be issued within the past three months and include utility bills, local authority tax invoices, or bank statements-bearing the name of either the applicant company or its director(s).
3. If using a third-party address service, a signed Letter of Consent for Address Use must be submitted concurrently, explicitly authorizing receipt of legal documents and regulatory correspondence.
IV. Constitution Must Comply with Mandatory Formatting Requirements in the First Schedule of the Companies Act 2016
1. The constitution cannot rely solely on generic templates. It must be customized to reflect the actual shareholding structure, voting mechanisms, director tenure, and other core provisions.
2. Clauses addressing share classes, preferential rights, or transfer restrictions must appear in boldface, as standalone paragraphs, with corresponding statutory references cited in an annex.
3. All signature pages must bear original handwritten signatures from all founding directors-electronic signatures or proxy signing are invalid. Signature dates must fall after the final version of the constitution is finalized.
V. Paid-Up Capital Evidence Must Demonstrate Both Lawful Source and Immediate Fund Arrival
1. While there is no minimum paid-up capital requirement, if declared, applicants must submit a scanned original bank credit advice showing funds credited to the proposed company’s temporary bank account.
2. For overseas-sourced funds, a remittance pathway description, payer identification documents, and a formal statement clarifying the nature of the funds must be provided-to prevent classification as short-term bridging finance.
3. Cash contributions are not accepted. All paid-up capital must be transferred via traceable bank transfer, and the credited date must not precede the issuance date of the company name approval letter.
The above five requirements represent the most frequently overlooked-and yet most decisive-conditions in the Malaysian company registration process. Should you have related questions or wish to explore operational details further, we recommend reviewing the latest edition of the Companies Registration Guidelines, cross-checking each requirement against your specific business model and shareholder composition, and verifying the logical consistency of your entire documentation chain.

December 12, 2024The experience was very good. I was still struggling to compare it with other companies. I went to the site a few days ago and wanted to implement it as soon as possible. I didn't expect that everything exceeded my expectations. The company is very large, with several hundred square meters. The employees are also dedicated and responsible. There is also a wall of certificates. I placed an order on the spot. It turned out that I did not make a wrong choice. The company's service attitude is very good and professional. The person who contacted me explained various things in detail in advance. After placing the order, the follow-up was also very timely, and they took the initiative to report the progress to me. In short, I am very satisfied and recommend this company!

December 16, 2024In order to register a company in Hong Kong, I compared many platforms and stores and finally chose this store. The merchant said that they have been operating offline for more than 10 years and are indeed an old team of corporate services. The efficiency is first-class, and the customer service is also very professional.
