5. Financial statements must be consolidated into the parent company’s global accounts; local tax filing requirements differ from those applicable to private limited companies.
Sole Proprietorship
Ideal for small-scale, low-risk, single-operator local service businesses.
1. Has no separate legal identity; the owner bears unlimited personal liability for all business debts.
2. Requires no directors or company secretary-registration is the simplest among all structures-but cannot raise external investment.
3. The business name must not include terms such as “Company” or “Corporation”, which could cause public confusion.
4. The owner must be a Singapore citizen, permanent resident, or an entrepreneur holding an EntrePass.
5. If annual turnover exceeds the statutory threshold, the business must convert to a private limited company.
Critical Steps to Obtain Your Certificate After Registration
Completing registration does not automatically mean you receive your official certificate. The electronic Certificate of Incorporation issued by ACRA (Accounting and Corporate Regulatory Authority) serves as the legally recognized proof of incorporation-and its validity depends on the successful completion of the following steps:
1. Once the company name is approved, registration must be completed within 120 days; otherwise, the name reservation expires automatically.
2. Identity documents, proof of residential address, and the company constitution submitted must all be genuine and valid.
