What Are the Requirements for Registering a Company in Singapore? Understand These 5 Key Points to Prepare All Documents Correctly the First Time
Many people assume that registering a company in Singapore is as simple as filling out a form and paying a fee-but in reality, there’s a clear, albeit strictly enforced, regulatory framework behind the process. Incomplete documentation often leads to multiple trips to government offices; the key is to clarify the core requirements upfront. Below are five hard eligibility criteria that-based on real-world experience-most commonly stall registration. If even one is unmet, the application will be automatically rejected by the system.

I. Company Name Must Be Approved
1. The proposed name must not duplicate or closely resemble any existing registered business name-the system automatically cross-checks against the national database.
2. Restricted terms-such as “Bank,” “Insurance,” or “Trust”-are prohibited unless the company holds the corresponding regulatory license.
3. The name must be submitted in English; a Chinese name may be registered concurrently, but it is not subject to name clearance and serves only as an internal reference.
4. The name must not contain sensitive terms, religious references, or language likely to mislead the public.
5. Approval results are typically issued within one hour of submission. If rejected, applicants must propose a new name and resubmit.
II. At Least One Local Director Is Required
1. This director must be a natural person aged 18 or older and hold Singapore citizenship, permanent resident status, or a valid Employment Pass.
2. Foreign shareholders need not serve as directors; however, if no local director is appointed, a licensed corporate secretary must be engaged to fulfill certain statutory responsibilities on behalf of the company.
3. Directors must provide verifiable residential addresses, contact details, and official identification documents-information must match records held in government databases.
4. The same individual may serve simultaneously as both director and shareholder, but cannot also act as company secretary unless formally qualified to do so.
5. While no formal “clean criminal record” requirement exists, prior convictions for commercial fraud may adversely affect the registration review.
III. Paid-Up Capital Has No Minimum Threshold-but Must Be Clearly Declared
1. Singapore imposes no statutory minimum paid-up capital; registration is permissible with as little as SGD 1.
2. At registration, applicants must declare the total subscribed share capital and nominal value per share-this information appears on the Certificate of Incorporation.
3. Capital may be paid in installments after incorporation, without requiring an audit or capital verification report-though shareholders remain bound by their contractual obligations under the company’s constitution.
4. Certain sectors-including finance and education-may be subject to additional capital requirements imposed by sector-specific regulators.
5. Capital is denominated in Singapore Dollars (SGD) by default; foreign-currency contributions must be converted at the prevailing exchange rate on the date of contribution and clearly documented.
IV. Registered Address Must Be a Valid Local Commercial Premise
1. The address must be physically located in Singapore and capable of receiving official correspondence-either a physical office or a compliant registered office service address.
2. Residential addresses are generally not permitted, except where explicitly approved by the Urban Redevelopment Authority (URA) for small-scale home-based businesses.
3. Use of virtual office services is acceptable only if the provider holds proper licensing and guarantees timely forwarding of all official communications.
4. The registered address is publicly listed on the Accounting and Corporate Regulatory Authority (ACRA) website for transparency and public access.
5. Any change of registered address must be reported to ACRA within 14 days of implementation.
V. A Qualified Company Secretary Must Be Appointed
1. At least one company secretary must be appointed within six months of incorporation.
2. The secretary must be either a Singapore citizen or permanent resident, a foreigner holding a valid Employment Pass, or a licensed corporate secretarial firm.
3. The secretary cannot be the sole director, nor can the role be filled by a person lacking legal capacity or an undischarged bankrupt.
4. Key responsibilities include maintaining statutory registers, organizing general meetings, and filing annual returns and other compliance documents.
5. Should the secretary resign or cease to act, the company must appoint a replacement within seven days-failure to do so exposes the company to regulatory penalties.
The above outlines the five fundamental conditions required to register a company in Singapore. If you have specific questions-or wish to explore how these requirements apply to your business model, ownership structure, or industry-consult the latest official guidelines and conduct a line-by-line self-assessment accordingly.

December 12, 2024The experience was very good. I was still struggling to compare it with other companies. I went to the site a few days ago and wanted to implement it as soon as possible. I didn't expect that everything exceeded my expectations. The company is very large, with several hundred square meters. The employees are also dedicated and responsible. There is also a wall of certificates. I placed an order on the spot. It turned out that I did not make a wrong choice. The company's service attitude is very good and professional. The person who contacted me explained various things in detail in advance. After placing the order, the follow-up was also very timely, and they took the initiative to report the progress to me. In short, I am very satisfied and recommend this company!
