Company Types and Statutory Structural Requirements

1. You must select a company structure compliant with the Companies Act 2016-most commonly a private limited company (Sdn. Bhd.).

2. The company must appoint at least one director who is a Malaysian resident-defined as a person physically present in Malaysia for no fewer than 183 days per calendar year.

3. At least one shareholder is required; shareholders may be individuals or legal entities, with no nationality restrictions-but valid identification documents must be provided.

4. A local registered office address must be appointed as the statutory correspondence address; a P.O. Box is not acceptable.

5. A qualified company secretary must be appointed-this individual must be a Malaysian citizen or permanent resident and possess relevant professional qualifications or practical experience.

Company Name Approval and Compliance Review

1. The company name must end with “Sendirian Berhad” or its abbreviation “Sdn. Bhd.”

2. The proposed name must not duplicate an already-registered business name and must avoid restricted terms-for example, words implying involvement in finance, education, religion, or other regulated sectors require prior approval.

3. The name must not mislead the public-for instance, by suggesting government dependence, association with international organizations, or activities beyond the company’s actual scope of operations.

4. After submission, the name application undergoes review by the Companies Commission of Malaysia (SSM); only upon approval may the formal registration process proceed.

Core Documents Required for Registration

1. Valid passport copies of all directors and shareholders; non-Malaysian applicants must also provide visa pages and immigration entry stamps.

2. Proof of residential address for each director and shareholder-e.g., utility bills or bank statements-issued within the last three months.

3. Memorandum and Articles of Association, drafted in accordance with current provisions of the Companies Act.

4. Documentary proof of the registered office address-such as a tenancy agreement or a letter of consent from the property owner-duly stamped or signed.

5. A declaration of qualifications and identification documents for the appointed company secretary.

Initial Post-Registration Compliance Obligations

1. Within 30 days of incorporation, the company must register with the Inland Revenue Board (IRB) to obtain its tax identification number.

2. If hiring employees, the company must register with the Employees Provident Fund (EPF) and the Social Security Organization (SOCSO) within seven working days of establishing the employment relationship.

3. The company must hold its first Annual General Meeting (AGM) within six months of incorporation and submit its first financial statements and audited report within 18 months of incorporation.

4. Annually, the company must file Form 24 (Annual Return) and update its registered information-including changes to directors, shareholders, company secretary, or registered office address.
