1. The company’s Articles of Association must be submitted. These may adopt the model articles set out in the Schedule to the Companies Ordinance, or custom-drafted provisions may be used.

2. Form NNC1 (“Application for Registration of an Overseas Company or a Local Company”) must be completed and signed, specifying core information including shareholders, directors, the company secretary, and the registered office address.

3. Within 15 days of incorporation, the company must file Form IRBR210 (“Tax Return for Newly Incorporated Companies”) with the Inland Revenue Department to complete business registration.

4. The first board meeting and shareholders’ meeting must be held within 18 months of incorporation, and minutes of both meetings must be retained for inspection.

V. Ongoing Compliance Obligations

1. An Annual Return (Form NAR1) must be filed annually with the Companies Registry to update information on directors, shareholders, and the company secretary.
