Registering a company in Singapore may seem straightforward at first glance, but in practice, oversights in seemingly minor details often lead to repeated document resubmissions, delayed business commencement, and even complications with bank account opening and tax compliance. Many applicants spend several weeks preparing documents only to discover-too late-that their registered address fails to meet statutory requirements, forcing them to restart the entire process from scratch.

5 Common Pitfalls When Starting a Company in Singapore-90% of Beginners Fall Into Them, and Choosing the Wrong Registered Address Can Render Your Efforts Futile

A Registered Address Is Not Just Any Mailing Box

Singapore’s Companies Act explicitly requires that a registered address be a genuine physical location capable of receiving official correspondence-not a P.O. box or a non-physical address provided by virtual office services.

1. The address must be provided by a locally licensed corporate secretary or registered filing agent and formally notified to the Accounting and Corporate Regulatory Authority (ACRA).

2. It must be able to receive official letters from ACRA and the Inland Revenue Authority of Singapore (IRAS), and the appointed agent must commit to collecting such mail and forwarding it to the company promptly.

3. If a co-working space is used, its operator must hold valid commercial licensing, and the lease agreement must expressly permit its use as a company’s registered address.

4. Any change of registered address must be reported to ACRA within 14 days; failure to do so may trigger regulatory scrutiny.

5. During bank account opening, most financial institutions conduct on-site verification or request formal address proof-submission of a false or invalid address will result in immediate rejection.

Shareholders and Directors Must Meet Strict Eligibility Criteria

Not just anyone-whether an individual or foreign entity-can automatically serve as a shareholder or director of a Singapore company.

1. At least one director must be a Singapore citizen, permanent resident, or an Employment Pass holder who qualifies as a local tax resident.

2. Shareholders may be individuals or corporate entities, with no nationality restrictions. However, foreign individual shareholders must submit certified copies of identity and residential address documents.

3. All directors must be at least 18 years old and must not be undischarged bankrupts or persons disqualified by court order from holding directorship positions.

4. A company secretary must be appointed within six months of incorporation and must be either a Singapore resident or a licensed professional secretarial firm operating locally.

5. If a director also serves as secretary, that person cannot be the sole director-the company must appoint at least one additional director to satisfy the statutory minimum requirement.

Company Name Pre-Approval Is Not a Formality

While name approval appears simple, it frequently encounters hidden grounds for rejection-especially involving industry-specific terms, geographic references, or ambiguous phrasing.

1. The proposed name must not duplicate any existing registered company name. Merely adding words such as “International,” “Group,” or “Holdings” does not constitute sufficient differentiation.

2. Names containing regulated terms-including “Bank,” “Insurance,” or “Trust”-require prior written approval from the relevant sectoral regulator.

3. Names that could mislead the public into believing the company is affiliated with government bodies-for example, “National University of Singapore,” “Municipal,” or “Federal”-are prohibited.

4. The English and Chinese versions of the company name (if applicable) must be logically consistent; direct phonetic transliterations or mismatched meanings are unacceptable.

5. Upon successful pre-approval, the name reservation remains valid for only 60 days-if incorporation is not completed within this period, a new application must be submitted.

Ongoing Compliance Obligations Extend Far Beyond Incorporation

Once incorporated, statutory maintenance requirements are frequent and interdependent; missing even one can adversely affect the company’s credit standing and operational continuity.

1. An Annual Return must be filed every year-even if the company has conducted no business-and zero reporting is mandatory.

2. Financial statements must be audited by a licensed auditor (unless the company qualifies for audit exemption as a small entity), and all records must be retained for at least five years.

3. The company seal and original copy of the constitution must be securely maintained; any amendments to the constitution require notification to ACRA.

4. Tax returns are filed annually based on the company’s financial year, and the first return must be submitted within three months after the end of the first financial year.

5. Once the company hires more than one employee, it must register for the Central Provident Fund (CPF) and make mandatory contributions in accordance with Singapore law.

The above outlines five critical yet commonly overlooked aspects of Singapore company registration-each carrying significant long-term implications. If you have related questions or wish to explore practical implementation details, we recommend consulting early with a professional service provider well-versed in local regulations-and aligning your approach with your business structure and long-term strategic objectives.

The experience was very good. I was still struggling to compare it with other companies. I went to the site a few days ago and wanted to implement it as soon as possible. I didn't expect that everything exceeded my expectations. The company is very large, with several hundred square meters. The employees are also dedicated and responsible. There is also a wall of certificates. I placed an order on the spot. It turned out that I did not make a wrong choice. The company's service attitude is very good and professional. The person who contacted me explained various things in detail in advance. After placing the order, the follow-up was also very timely, and they took the initiative to report the progress to me. In short, I am very satisfied and recommend this company!

I originally thought that they only did mainland business, but I didn’t expect that they had been doing Hong Kong business and were doing very well. After the on-site interview, I decided to ask them to arrange the registration of my Hong Kong company. They helped me complete it very quickly and provided all the necessary information. The efficiency was awesome. It turns out that professional things should be done by professionals.👍

In order to register a company in Hong Kong, I compared many platforms and stores and finally chose this store. The merchant said that they have been operating offline for more than 10 years and are indeed an old team of corporate services. The efficiency is first-class, and the customer service is also very professional.
