Many companies consider establishing a legal entity in the United States-but when they move to implement this plan, they often discover that mere registration is far from sufficient. Without properly resolving three critical issues-physical address, a genuine operational presence, and seamless compliance alignment-the company may remain a “paper entity,” hindering subsequent steps such as opening a U.S. bank account, filing tax returns, or expanding business operations.

Registering a Company in the U.S.? First, Secure a U.S. Address and Establish a Local Branch

I. A U.S. Address Is Not Just a Mailing Box

1. A Post Office (PO) Box cannot serve as a statutory registered address; most states explicitly require a verifiable physical street address.

2. Virtual office services offered by business centers must be carefully vetted to confirm whether they include mail handling, call forwarding, and acceptance of legal documents on behalf of the company.

3. The registered address must be located within the same state where the entity is incorporated-for example, if incorporated in Delaware, the registered address must be physically situated in Delaware-not in another state.

4. Any change of address must be promptly updated with the Secretary of State’s office in the relevant state; failure to do so may jeopardize timely filing of annual reports and compromise the company’s active status.

5. If the company plans to apply for an Employer Identification Number (EIN) or open a U.S. bank account, the address must be capable of receiving official correspondence mailed by the IRS or financial institutions.

II. Establishing a U.S. Branch Is More Than Just Hanging a Sign

1. Setting up a branch office in the U.S. constitutes “foreign qualification”-a formal registration process required separately in each state where the foreign parent company intends to conduct business.

2. A branch lacks independent legal personhood; all liabilities rest with the parent company. Therefore, corporate documentation from the parent entity must be authenticated and translated into English.

3. Each state where the branch operates requires appointment of a registered agent-a local individual or licensed entity residing or operating within that state, authorized to accept service of legal process.

4. Branches are subject to state-specific requirements, including franchise taxes or annual fees, as well as compliance with local rules regarding employee reporting, sales tax registration, and business license applications.

5. If the branch occupies a physical office space, the lease agreement must list the company’s legal name, and the property’s designated use must comply with local zoning ordinances.

III. Entity Formation Must Be Seamlessly Integrated With Subsequent Steps

1. Prior to filing formation documents, a name availability search must be conducted to ensure the proposed name is not already registered in the target state; some states also mandate specific designators (e.g., “Inc.” or “LLC”) in the legal name.

2. Upon successful filing, the company must promptly obtain its Certificate of Formation (for LLCs) or Certificate of Incorporation (for corporations)-a foundational document required for virtually all downstream activities.

3. Application for an EIN should begin immediately after entity formation is complete, as this number is essential for opening a bank account, hiring employees, and fulfilling federal tax obligations.

4. While no federal business license is required, most cities or counties mandate local operating permits-especially for industries such as retail, food service, or professional services.

5. Corporate governance documents-including bylaws or operating agreements, and minutes from the first board or member meeting-must be executed and retained contemporaneously; certain states conduct random audits to verify their authenticity and completeness.

The above outlines key practical considerations related to address selection, branch establishment, and procedural coordination during U.S. entity formation. Should you have specific questions-or wish to explore state-specific implementation details-we recommend evaluating each step thoughtfully in light of your business model and long-term operational strategy.

The experience was very good. I was still struggling to compare it with other companies. I went to the site a few days ago and wanted to implement it as soon as possible. I didn't expect that everything exceeded my expectations. The company is very large, with several hundred square meters. The employees are also dedicated and responsible. There is also a wall of certificates. I placed an order on the spot. It turned out that I did not make a wrong choice. The company's service attitude is very good and professional. The person who contacted me explained various things in detail in advance. After placing the order, the follow-up was also very timely, and they took the initiative to report the progress to me. In short, I am very satisfied and recommend this company!

When I first consulted customer service, they recommended an agent to me. They were very professional and patient and provided excellent service. They answered my questions as they came in. This 2-to-1 service model is very thoughtful. I had a lot of questions that I didn’t understand, and it’s not easy to register a company in Hong Kong. Fortunately, I have you.

I originally thought that they only did mainland business, but I didn’t expect that they had been doing Hong Kong business and were doing very well. After the on-site interview, I decided to ask them to arrange the registration of my Hong Kong company. They helped me complete it very quickly and provided all the necessary information. The efficiency was awesome. It turns out that professional things should be done by professionals.👍

In order to register a company in Hong Kong, I compared many platforms and stores and finally chose this store. The merchant said that they have been operating offline for more than 10 years and are indeed an old team of corporate services. The efficiency is first-class, and the customer service is also very professional.
