How Low Is the Threshold for Registering a Company in Thailand? Five Mandatory Requirements Locals Haven’t Fully Disclosed
Many people hear that registering a company in Thailand has a low entry barrier and assume it’s as simple as filling out a few forms and paying a fee-only to hit unexpected roadblocks once they actually begin the process. In reality, the term “low barrier” refers to relatively transparent procedures and gradually relaxed restrictions on foreign ownership-not the absence of mandatory requirements. Locals often omit these practical details in everyday conversation, leading many applicants to stumble into common pitfalls. Below are five legally mandated, non-negotiable conditions.

I. Minimum Number of Shareholders and Nationality Requirements
1. A Thai private limited company must have at least three natural-person shareholders.
2. At least one shareholder must be a Thai national residing in Thailand, holding no less than one-seventh of the registered capital.
3. Foreign shareholders may be individuals or overseas entities; however, if foreign shareholding exceeds 50%, additional industry-specific licensing requirements apply.
II. Paid-in Capital and Proof of Funding Source
1. The registered capital must be fully subscribed, with at least 25% paid in within 30 days of company incorporation.
2. The paid-in funds must be transferred from abroad into a Thai bank account, clearly designated as “registered capital.”
3. A Foreign Exchange Transaction Form (FET Form), issued by the receiving bank, is a mandatory document for commercial registration.
III. Pre-approval of Company Name
1. The proposed name must not duplicate or closely resemble any existing registered business name, and must be verified against the Ministry of Commerce’s database.
2. If the name includes English words, an official Thai translation must be submitted simultaneously, conforming to standard Thai orthographic rules.
3. Terms likely to cause public confusion are prohibited-for example, specialized terminology associated with regulated sectors such as finance, education, or healthcare.
IV. Registered Address and Office Space Verification
1. A verifiable physical address located within Thailand is required; P.O. boxes are not acceptable as registered addresses.
2. The address must be accompanied by a signed letter of consent from the property owner, certified by a notary public.
3. If a co-working space is used, the operator must provide an official confirmation letter bearing its official seal and the registered lease reference number.
V. Director and Legal Representative Eligibility
1. At least one director must be a Thai national with a fixed residential address in Thailand capable of receiving official correspondence.
2. All directors must submit a certificate of no criminal record; for foreign directors, this document must be issued by their home country’s embassy/consulate or a duly authorized notary.
3. The legal representative must sign the company’s Articles of Association and incorporation documents in person-power-of-attorney or remote signing is not accepted.
The above outlines the five core legal requirements for registering a company in Thailand. If you have related questions or wish to explore operational details further, we recommend reviewing your specific business type and shareholding structure early to map out a compliant pathway.

December 12, 2024The experience was very good. I was still struggling to compare it with other companies. I went to the site a few days ago and wanted to implement it as soon as possible. I didn't expect that everything exceeded my expectations. The company is very large, with several hundred square meters. The employees are also dedicated and responsible. There is also a wall of certificates. I placed an order on the spot. It turned out that I did not make a wrong choice. The company's service attitude is very good and professional. The person who contacted me explained various things in detail in advance. After placing the order, the follow-up was also very timely, and they took the initiative to report the progress to me. In short, I am very satisfied and recommend this company!

December 16, 2024In order to register a company in Hong Kong, I compared many platforms and stores and finally chose this store. The merchant said that they have been operating offline for more than 10 years and are indeed an old team of corporate services. The efficiency is first-class, and the customer service is also very professional.
