
Where Do Hong Kong Company Registration Requirements Actually Bite? 5 Non-Negotiable Criteria to Check Before Hiring an Agent
Don’t assume registering a company in Hong Kong is as simple as filling out a few forms and paying a fee-only to get stuck midway when you realize certain requirements are non-negotiable. Not all agency firms proactively disclose these mandatory thresholds, and some even accept mandates without fully understanding the rules themselves-ultimately costing you time and derailing your plans.

The Company Name Must Be Genuine and Available
1. The name must not be identical or highly similar to any already-registered company; the system automatically cross-checks against the Hong Kong Companies Registry database.
2. Restricted terms-such as “Bank,” “Insurance,” or “Trust”-are prohibited unless the company holds the corresponding license.
3. Both Chinese and English names must be submitted simultaneously: the English name must end with “Limited,” and the Chinese name must end with “” (Limited Company).
4. The name must not contain wording likely to mislead the public-for example, implying government affiliation or association with international organizations.
At Least One Natural-Person Director Aged 18 or Older Is Required
1. Directors may be of any nationality, but must be natural persons; a corporate entity cannot serve as the sole director.
2. Such a natural-person director must provide valid identification and proof of residential address-a physical, deliverable address is required.
3. If the director is a non-Hong Kong resident, local residence is not required-but they must ensure timely receipt of statutory correspondence and official notices.
4. The director must sign a “Consent to Act as Director” form, confirming awareness of and willingness to assume legal responsibilities under the Companies Ordinance.
A Company Secretary Must Be Appointed
1. The secretary may be an individual or a licensed corporate service provider. If an individual, they must be either a Hong Kong permanent resident or hold a valid work visa.
2. A non-Hong Kong resident individual cannot serve solely as secretary unless they are also a director of the company and meet the residency requirements.
3. The secretary’s duties include maintaining statutory registers, arranging general meetings, and filing the Annual Return and other statutory documents.
4. If engaging an agency to act as secretary, confirm explicitly that their service scope includes statutory document filing and timely compliance reminders.
The Registered Address Must Be a Genuine Physical Address in Hong Kong
1. A P.O. Box, virtual mailbox, or residential address is unacceptable-unless that residential address has been lawfully registered for commercial use.
2. This registered address will be used to receive official communications from government departments and court documents; it must guarantee year-round availability for signed receipt or have a reliable forwarding mechanism in place.
3. Any “registered office address” provided by an agency must be compliant and verifiable-and the agency must be able to issue formal proof of address usage upon request.
4. Should the company change its registered address after incorporation, Form ND2A must be filed with the Companies Registry within 15 days.
The Shareholder Structure Must Meet Minimum Number and Eligibility Requirements
1. A private limited company must have at least one shareholder and no more than fifty-shareholders may be of any nationality and may be individuals or corporate entities.
2. If a shareholder is a corporate body, the company must submit its latest certificate of incorporation and information on its ultimate beneficial owners.
3. The same individual may concurrently serve as director, shareholder, and company secretary-provided they satisfy all eligibility criteria for the secretary role.
4. All shareholders must sign a share subscription agreement, affirming their genuine intent regarding the method and amount of capital contribution.
