2. Statutory Secretary Is Mandatory-not Optional: Regardless of company size, every Cayman Islands company must continuously appoint a licensed statutory secretary based in the Cayman Islands. 3. Incomplete documentation will halt the registration process immediately.

4. Memorandum and Articles of Association Are Not Easily Amended: Once filed with the Registrar, the initial constitutional documents cannot be modified without prior review and approval by the Registered Office Provider-and formal submission to the Cayman Islands Registrar of Companies. Certain amendments-such as changes to shareholder rights or voting mechanisms-require written consent signed by all shareholders.

5. Bank Account Opening Presents Higher Hurdles Than Registration Itself

Company registration is merely the first step. Major international banks apply independent, stringent criteria when opening accounts for Cayman Islands entities. Applicants typically must provide: a clear explanation of business substance; ultimate beneficial ownership (UBO) disclosure with full traceability; and at least one genuine commercial contract or service agreement.

Several banks explicitly decline account applications from “shell” companies-particularly where shareholders involve multi-layered offshore structures or jurisdictions deemed high-risk. In such cases, the due diligence process may extend beyond six weeks.

Once activated, the account requires maintenance of a minimum balance and periodic submission of transaction statements and supporting business rationale. Extended inactivity or large-value transfers lacking transparent trade context often trigger enhanced bank risk reviews.
