What Does It Take to Start a Company in Malaysia? A Local’s Honest Breakdown
Setting up a company in Malaysia is not as simple as filling out a form and paying a fee. Local practitioners have encountered numerous cases where applicants got stuck at the registration stage due to inadequate preparation: some had their proposed company names rejected three times; others faced repeated scrutiny over director eligibility; and still others waited two months only to discover their registered address documentation was non-compliant. Behind these seemingly minor details lies an entire regulatory system designed to verify genuine business intent and foundational compliance.

Eligibility Requirements for Registration
1. At least one director must be a Malaysian citizen or permanent resident and be at least 18 years of age.
2. A company may appoint one or more directors, but not all directors may be foreign nationals.
3. At least one company secretary must be a practicing secretary licensed in Malaysia, and such appointment must be completed within one month after registration.
4. All directors and shareholders must provide complete identification documents; foreign nationals must also submit valid visas and proof of residential address.
5. The registered office address must be a verifiable physical address located within Malaysia-post office boxes are not acceptable.
Company Name and Structural Requirements
1. The proposed name must not duplicate or be confusingly similar to any existing registered company name; the system automatically screens for duplicates.
2. If the name includes regulated terms such as “Bank,” “Insurance,” or “Trust,” prior written approval from the relevant regulatory authority is required.
3. The name of a private limited company must end with “Sendirian Berhad” or its abbreviation “Sdn. Bhd.”
4. The name must not contain unlawful, discriminatory, offensive, or misleading language.
5. Name approval is valid for 30 days; if registration is not completed within this period, a new application is required.
Required Documentation
1. Scanned copies of valid identification documents (e.g., national ID cards or passports) for all directors and shareholders.
2. Recent proof of residential address (e.g., utility bills or bank statements) for all directors and shareholders, issued no earlier than three months prior to submission.
3. A copy of the lease agreement or title deed for the registered office address, clearly indicating the full street address and permitted use of the premises.
4. A draft of the company’s constitution, specifying share structure, directors’ powers and responsibilities, and rules governing shareholder meetings and other core governance provisions.
5. The practicing secretary’s license certificate and a formal letter of consent to act in that capacity.
Key Stages in the Registration Process
1. Submit a pre-approval application for the proposed company name and await feedback from the online platform-typically takes one to three working days.
2. Upon name approval, submit the full set of registration documents online, including the constitution, director and shareholder information, and address verification documents.
3. Pay the statutory registration fee and confirm all submitted information is accurate; the system will then issue an electronic Certificate of Incorporation.
4. Within seven days of successful registration, the company must register for a tax identification number with the Inland Revenue Board and, where applicable, complete registration with the Employees Provident Fund (EPF) and Social Security Organization (SOCSO).
5. Prior to opening a corporate bank account, prepare and present the Certificate of Incorporation, constitution, board resolutions, and other supporting documents to the bank for verification of the company’s legitimacy and control structure.
The above outlines the most common core requirements and practical considerations encountered during company registration in Malaysia. If you have specific questions-or wish to explore tailored solutions based on your business type, shareholder composition, or long-term operational plans-we recommend reviewing your documentation and timeline in light of those factors.

December 12, 2024The experience was very good. I was still struggling to compare it with other companies. I went to the site a few days ago and wanted to implement it as soon as possible. I didn't expect that everything exceeded my expectations. The company is very large, with several hundred square meters. The employees are also dedicated and responsible. There is also a wall of certificates. I placed an order on the spot. It turned out that I did not make a wrong choice. The company's service attitude is very good and professional. The person who contacted me explained various things in detail in advance. After placing the order, the follow-up was also very timely, and they took the initiative to report the progress to me. In short, I am very satisfied and recommend this company!

The merchant said that they have been operating offline for more than 10 years and are indeed an old team of corporate services.
