Establishing a business entity in Singapore offers two common pathways: registering a local company or setting up a branch office. Though the difference appears to be merely one word, the two structures differ fundamentally in legal status, tax obligations, operational authority, and ongoing compliance costs. Choosing the wrong structure may not only delay business launch but also lead to long-term financial burdens and management risks.

Singapore Company Registration vs. Branch Registration: One Wrong Step, Double the Cost!

Distinct Legal Entity Status

Company registration creates an independent legal entity-capable of owning assets and liabilities, entering into contracts, and initiating or defending litigation in its own name. In contrast, a branch office is merely an extension of its overseas parent company in Singapore and lacks independent legal personality; all liabilities rest with the parent company.

A branch office cannot hold real estate or sign long-term lease agreements in its own name. Any significant commercial activity requires prior written authorization from the parent company-accompanied by notarization and legalization.

A locally registered company may independently decide on profit distribution, capital increases or reductions, and changes to its shareholding structure. A branch office has no authority to adjust its registered capital; all fund transfers must follow the parent company’s internal financial arrangements.

Markedly Different Tax Treatment

A registered company is subject to Singapore’s corporate income tax rate and-provided it meets eligibility criteria-may benefit from start-up tax exemptions, R&D tax incentives, and other government-supported schemes.

A branch office is taxed only on its Singapore-sourced taxable income. However, it is ineligible for start-up tax incentives and cannot claim benefits under certain bilateral tax treaties applicable to resident entities.

When remitting profits to its overseas parent company, a branch office may trigger withholding tax obligations. By contrast, dividend distributions by a Singapore-registered company to its shareholders are governed by separate rules.

Comparison of Registration Procedures and Documentation Requirements

1. Company registration requires submission of a proposed company name, constitution (formerly known as Memorandum and Articles of Association), at least one local director, at least one shareholder, one qualified company secretary, and a registered office address in Singapore.

2. Branch registration mandates provision of the parent company’s certificate of incorporation, constitutional documents, board resolution authorizing the establishment of the branch, letter of appointment for the local authorized representative, and the parent company’s most recent audited financial statements.

3. All documents in foreign languages must be accompanied by certified English translations; certain documents may further require Apostille certification (under the Hague Convention) or consular legalization.

4. Prior to registration, the branch must demonstrate an existing commercial relationship between the parent company’s home jurisdiction and Singapore-e.g., through a signed cooperation agreement or verifiable transaction history.

Ongoing Compliance Burden Must Not Be Overlooked

1. A registered company must file an annual return, financial statements, and corporate tax returns annually-and may elect its own fiscal year-end.

2. In addition to reporting local operating data, a branch office must submit a summary of its parent company’s global consolidated financial statements and is subject to more frequent accounting audits and reviews.

3. Any change in the branch’s authorized representative must be reported to the Accounting and Corporate Regulatory Authority (ACRA) within seven working days-and each such change requires re-submission of updated authorization documents from the parent company.

4. A locally registered company may open a corporate bank account independently and apply for business licenses without third-party guarantees. A branch office, however, must provide additional documentation-including the parent company’s bank reference letter and a detailed description of its business scope-to open a local bank account.

Key Considerations When Determining the Appropriate Structure

1. If your objective is to establish a long-term presence in Singapore-building a local team, cultivating domestic clients, and developing regional market share-company registration is strongly recommended.

2. If the entity will serve primarily as an implementation arm for parent-company projects, coordinate regional logistics, or deliver technical support-without directly contracting with local customers-a branch office may be more suitable.

3. Where the parent company’s home jurisdiction imposes strict foreign exchange controls or capital outflow restrictions, establishing a local company can help circumvent certain cross-border funding constraints.

4. For activities involving localization of intellectual property, applying for government grants, or participating in public-sector procurement processes, a locally incorporated company is often the only eligible legal form.

The above outlines the core distinctions between company registration and branch office registration in Singapore. Should you have further questions-or wish to explore practical implementation details-we recommend evaluating your decision holistically: consider your business model, regulatory requirements in your home country, and medium- to long-term strategic objectives. Where appropriate, engage a professional service provider with proven local expertise to support your assessment.

The experience was very good. I was still struggling to compare it with other companies. I went to the site a few days ago and wanted to implement it as soon as possible. I didn't expect that everything exceeded my expectations. The company is very large, with several hundred square meters. The employees are also dedicated and responsible. There is also a wall of certificates. I placed an order on the spot. It turned out that I did not make a wrong choice. The company's service attitude is very good and professional. The person who contacted me explained various things in detail in advance. After placing the order, the follow-up was also very timely, and they took the initiative to report the progress to me. In short, I am very satisfied and recommend this company!

In order to register a company in Hong Kong, I compared many platforms and stores and finally chose this store. The merchant said that they have been operating offline for more than 10 years and are indeed an old team of corporate services. The efficiency is first-class, and the customer service is also very professional.
