Basic Requirements for Registering a Company in Singapore
Shareholders and directors are not required to be Singapore residents. However, the company must appoint at least one qualified company secretary who is ordinarily resident in Singapore-this individual must be a licensed professional or a licensed corporate service provider.
The proposed company name must undergo pre-approval by the Accounting and Corporate Regulatory Authority (ACRA) to ensure it does not duplicate an existing registered name or contain sensitive or prohibited terms.
The registered address must be a valid commercial address located within Singapore; P.O. boxes are not acceptable.
Remote Registration Process (Completed Entirely from Mainland China)

5. Proof of registered address in Singapore (provided by a local service provider).
6. Appointment letter and qualification documentation for the company secretary (provided by the appointed service provider).
Post-Registration Compliance Obligations
1. The company must hold its first Annual General Meeting (AGM) within 18 months of incorporation.
2. Financial statements and annual returns must be filed annually, on time.
3. If the company generates taxable income, corporate income tax must be filed quarterly or annually, as applicable.
4. A corporate bank account should be opened promptly after registration; some banks accept remote due diligence.
5. Prior to hiring employees, employers must register with the Central Provident Fund (CPF) Board and the Ministry of Manpower (MOM).

Reality: Even if the company has zero income or expenses (“nil return”), it remains legally obligated to file corporate tax returns and annual returns.

Reality: Any change of registered address must be formally notified to ACRA within 14 days.
