I. Local Director Is a Mandatory Requirement
1. At least one director must be a Singapore citizen, a Singapore permanent resident, or a foreign national holding a valid Employment Pass.

III. Registered Address Must Be Genuine and Valid
1. The registered office address must be a physical business premises or commercial address located within Singapore.
2. Post office boxes and virtual office addresses are not accepted as statutory registered addresses-unless explicitly approved and clearly disclosed as such.
3. The address must be officially recorded with the Accounting and Corporate Regulatory Authority (ACRA) and used consistently for receiving official correspondence and legal documents.
IV. Paid-Up Capital and Shareholding Structure Must Be Transparent and Traceable
1. Singapore permits a minimum paid-up capital of SGD 1-but the source of funds must be lawful and verifiable.
2. If shareholders are mainland Chinese individuals, they must provide documentation proving compliance with outbound capital regulations-such as bank foreign exchange purchase receipts or records filed with the State Administration of Foreign Exchange (SAFE).
3. Shareholder identity information must be notarized and authenticated; for multi-tiered ownership structures, ultimate beneficial owners must be disclosed layer by layer.
V. Tax Filing and Annual Reporting Obligations Take Effect Immediately Upon Incorporation
1. The first Annual General Meeting (AGM) must be held within 18 months of incorporation, and the first set of financial statements must be filed within prescribed deadlines.
2. All companies must submit annual returns on time-even if inactive-by filing a “nil return.”
3. Companies engaged in cross-border transactions or related-party dealings must also maintain contemporaneous transfer pricing documentation for audit readiness.
