How Long Does It Take to Register a Company in Thailand? A Comprehensive Guide to the Process, Timeline, and Requirements
How many days does it take to set up a company in Thailand? There’s no one-size-fits-all answer-but it’s clear that the process, from document preparation to receiving your business license, takes neither just one or two days nor several months of waiting. The timeline hinges on three key factors: whether the applicant meets statutory requirements, whether all documents are complete and accurate upon first submission, and whether the chosen company structure aligns with your actual business needs.

Registration Timeline Depends on Three Variables
1. Company Type: A private limited company (Co., Ltd.) is the most common structure. Under standard conditions, registration typically takes 7-15 business days. However, if foreign shareholding exceeds permitted thresholds-or if your business falls under a regulated industry requiring special licenses-additional approval steps apply, potentially extending the timeline to 4-6 weeks.
2. Document Quality: All foreign-language documents must undergo notarization followed by double certification (apostille or embassy legalization). Translations must be signed by a certified translator. Any error or omission will result in rejection and resubmission-delaying the process by at least five business days.
3. Validity of Registered Address: You must provide verifiable proof of a genuine commercial address. A lease agreement must bear an official company seal and explicitly state that the premises are designated for “business registration.” Virtual offices and residential addresses are not accepted.
Six-Step Standard Registration Process
1. Company Name Reservation: Submit three alternative names for automated screening-checking for duplication or prohibited terms.
2. Drafting the Memorandum and Articles of Association: Specify shareholder composition, registered capital, scope of business, directors, and authorized signatories. All shareholders must sign and confirm the final version.
3. Opening a Temporary Bank Account and Capital Contribution: Funds must be transferred from shareholders’ personal accounts. The bank deposit slip serves as mandatory proof for subsequent capital verification.
4. Filing Incorporation Documents with the Department of Business Development (DBD): Submit the full package-including the Articles of Association, copies of shareholders’ passports, proof of address, and directors’ declarations of appointment.
5. Receiving the Company Registration Certificate and Tax ID: Upon approval, the DBD issues an official paper certificate and assigns a unique 13-digit tax identification number.
6. Seal Registration and Corporate Bank Account Opening: Use the original registration certificate to engrave the official company seal at an authorized institution; then use this seal to open a corporate bank account.
Non-Negotiable Legal Requirements
1. At least one natural person must serve as a shareholder-foreign nationals are eligible, and Thai permanent residency is not required.
2. The minimum statutory registered capital is THB 100,000, with at least 25% paid in full upon incorporation. The remaining balance may be contributed in installments over a maximum period of five years.
3. At least one director must be appointed. This individual must be at least 20 years old and have no record of bankruptcy or criminal conviction.
4. Foreign-owned businesses operating in restricted sectors-including real estate development, mass media, and transportation-must obtain prior sector-specific approval from the relevant regulatory authority before incorporation.
5. All non-Thai-language documents must be notarized in the country of origin and subsequently legalized by the Royal Thai Embassy or Consulate abroad. Missing either step renders the documents invalid.
Commonly Overlooked Critical Details
1. Company names must not include controlled terms such as “Bank,” “Insurance,” or “University”-unless formal authorization has been granted by the relevant supervisory authority.
2. If registering at a commercial office building, you must obtain a “Consent-to-Register Letter” issued by the property management. Even privately owned residential properties-regardless of title deed ownership-are ineligible as registered addresses.
3. If a shareholder is a corporate entity, additional documents are required: the shareholder company’s latest business license, its Articles of Association, and a board resolution authorizing its investment-all of which must undergo full notarization and legalization.
4. Tax registration must be completed within seven calendar days after company registration. Late filing incurs penalties and impedes subsequent processes-including VAT invoice issuance and social security contributions.
The above outlines the core timelines, procedural steps, and compliance essentials for registering a company in Thailand. Should you have further questions-or wish to explore industry-specific entry requirements, post-incorporation bookkeeping and tax filing obligations, or procedures for shareholder changes-we recommend reviewing your business profile early, preparing documentation thoroughly, and allowing ample buffer time to accommodate certification and correction cycles.

December 12, 2024The experience was very good. I was still struggling to compare it with other companies. I went to the site a few days ago and wanted to implement it as soon as possible. I didn't expect that everything exceeded my expectations. The company is very large, with several hundred square meters. The employees are also dedicated and responsible. There is also a wall of certificates. I placed an order on the spot. It turned out that I did not make a wrong choice. The company's service attitude is very good and professional. The person who contacted me explained various things in detail in advance. After placing the order, the follow-up was also very timely, and they took the initiative to report the progress to me. In short, I am very satisfied and recommend this company!
