
What You Need to Know About Registering a Company in Thailand: Requirements and the Complete Business Registration Process
Before conducting business operations in Thailand, registering a local company is a mandatory step for most foreign investors. This process is neither a quick administrative formality nor as relaxed and informal as in certain other jurisdictions. It requires clear understanding, compliance-oriented preparation, and familiarity with the rhythm and requirements of local regulations.

Preliminary Requirements for Registration
1. At least one natural person or juristic person must serve as a shareholder; there are no nationality restrictions, but valid identification documents must be provided.
2. At least one director-must be a natural person-is required; foreigners may serve as directors without holding Thai residency, though a valid passport and proof of residential address are mandatory.
3. The company must appoint a statutory auditor who is registered with the Thai Federation of Accounting Professions (TFAP).
4. Registered capital must be fully subscribed, with at least 25% paid up upon incorporation; the source of funds must be traceable and verifiable.
5. The proposed company name must undergo a uniqueness check and receive formal approval from the Department of Business Development (DBD); it must not duplicate any existing business name or contain prohibited terms.

End-to-End Company Registration Process

2. Submit a company name reservation application to the Department of Business Development (DBD). Upon approval, the reserved name is valid for 30 days.

4. Submit the complete registration application package to the DBD, including identity documents of shareholders and directors, proof of registered capital, and evidence of the registered office address.
5. Upon successful review, the DBD issues the Certificate of Incorporation and a Tax Identification Number (TIN).
6. Within 15 days of incorporation, complete additional statutory registrations with the Revenue Department: Value Added Tax (VAT) registration (if applicable), employer registration (if hiring staff), and social security registration.
7. Open a corporate bank account-required documents include the Certificate of Incorporation, director’s identification, and the company seal; some banks mandate in-person signature verification.
8. Engrave the company seal, financial seal, and authorized representative’s seal, and register all seals with the Department of Business Development.
Ongoing Compliance Obligations
1. Annual financial statements must be submitted, accompanied by an audit opinion issued by a licensed auditor.
2. An Annual General Meeting (AGM) must be held no later than one year after incorporation, and minutes of the meeting must be formally recorded and archived.
3. All tax filings must be completed on schedule-including estimated tax, corporate income tax, and withholding tax.
4. For foreign employees, work permits and corresponding Thai residence visas must be applied for concurrently; these two processes are interdependent and cannot be handled separately.
5. Any changes to company information-including directors, registered address, or registered capital-must be reported to and updated with the Department of Business Development within 30 days.
