
What Documents Are Required to Register a Company in Malaysia? These 5 Mandatory Requirements Are Non-Negotiable!
Registering a company in Malaysia is not as simple as filling out a form and receiving your certificate. Don’t assume that hiring an agent and paying a fee will get you up and running within days-many applications stall due to incomplete documentation, disqualifying shareholder identities, or invalid address proofs. In reality, Malaysia’s local registration system has clearly defined thresholds: five mandatory requirements stand as non-negotiable gateways-fail to meet even one, and your application will not proceed.

I. At Least One Local Director
1. The director must be a natural person holding long-term residency status in Malaysia-including Malaysian citizens, permanent residents, or holders of the Long-Term Social Visit Pass (LTVP).
2. Foreign nationals wishing to serve as directors must first apply for and obtain approval under Malaysia’s Malaysia My Second Home (MM2H) program or a professional pass (e.g., Employment Pass), and maintain valid, active status under that permit.
3. Directors must be at least 18 years old, have no bankruptcy record, and must not have been adjudicated by a court as unfit to manage corporate affairs.
II. A Minimum of Two Shareholders
1. Shareholders may be individuals or legal entities of any nationality-but at least one must be a Malaysian resident or hold a valid Malaysian residence permit.
2. If all shareholders are foreign nationals, an additional qualified local resident director must be appointed, and their residential address along with verified identity documents must be submitted.
3. Shareholder identity must be cross-verified using multiple supporting documents-including passport copies, visa pages, proof of address, and recent bank statements. A single document alone is insufficient.
III. A Genuine and Valid Registered Office Address
1. The registered office address must be physically located within Malaysia. Post office boxes (PO Boxes) or virtual office addresses are not acceptable as statutory registered addresses.
2. A signed Letter of Consent from the property owner is required, accompanied by corroborating documents such as a recent utility bill or a certified copy of the land title deed.
3. If leasing commercial premises, the tenancy agreement must explicitly state that the premises may be used for company registration and business operations.
IV. Constitution and Pre-Approval of Company Name
1. The proposed company name must undergo a pre-check via the Companies Commission of Malaysia (SSM) system to ensure it does not duplicate an existing business name, contain prohibited terms, or violate public order or morality.
2. The submitted Memorandum and Articles of Association must include core provisions covering the company’s objectives, share capital structure, directors’ powers and responsibilities, and shareholders’ rights and obligations.
3. Once approved, the name reservation remains valid for three months; if registration is not completed within this period, a new application must be submitted.
V. Paid-Up Capital and Bank Verification Requirements
1. The minimum authorized share capital can be as low as MYR 1; however, the actual operating capital must align with the scale and nature of the business. Certain sectors-including travel agencies and human resources services-impose industry-specific minimum capital requirements.
2. After incorporation, the company must open a local Malaysian bank account, and the initial paid-up capital must be deposited into that account. The bank must issue an official confirmation letter verifying receipt of funds.
3. Contributions may be made in cash, tangible assets, or intellectual property. Non-cash contributions require independent valuation, and the original valuation report must be submitted.
The above five criteria constitute non-substitutable, mandatory conditions for company registration in Malaysia.
