Registering a Company in Singapore: These Mandatory Requirements Are Unavoidable
Registering a company in Singapore is not as simple as filling out a form and paying a fee. As a city-state, Singapore maintains a clear and stable regulatory framework governing the establishment of business entities. Many applicants initially prioritize speed and cost-only to encounter repeated compliance hurdles, sometimes resulting in registration failure or operational disruptions down the line. Before proceeding with actual incorporation, it is essential to clarify those non-negotiable, mandatory baseline requirements.

Key Personnel Qualification Requirements
1. At least one resident director must be appointed-a natural person aged 18 or older who holds Singapore citizenship, permanent residence status, or a valid work pass (e.g., Employment Pass, S Pass, or Dependant’s Pass);
2. A company secretary must be appointed within six months of incorporation. This secretary must be either a natural person ordinarily resident in Singapore or a licensed corporate service provider; the sole director may not serve concurrently as secretary;
3. Shareholders may be individuals or legal entities, with no nationality restrictions. However, if a shareholder is a foreign individual, certified copies of their passport and proof of residential address (e.g., utility bill or bank statement) must be provided-the documents must have been issued no more than three months prior to submission.
Registered Address and Physical Presence
1. A genuine and valid local registered address must be provided; this address will appear on the company’s official registration records and serve as the official point of contact for statutory correspondence;
2. A post office box (PO Box) is not acceptable. However, a compliant business center address or virtual office service may be used-provided the service provider is approved by the Accounting and Corporate Regulatory Authority (ACRA);
3. A physical office space is not mandatory. Nevertheless, certain industries-including food & beverage, healthcare, and education-require additional licenses from the relevant sectoral authorities and adherence to on-site operational requirements.
Share Capital and Equity Structure
1. The statutory minimum share capital is SGD 1. No capital verification is required, but the amount must be explicitly stated in the company’s constitution;
2. Share capital may consist entirely of ordinary shares. Preference shares or shares with special voting rights are not permitted by default; any differentiated equity structure must be expressly stipulated in the company’s Constitution and filed with ACRA;
3. Shares may be subscribed for in cash or through non-cash contributions (e.g., equipment or intellectual property). Non-cash contributions require an independent third-party valuation report and a signed confirmation letter executed by all shareholders.
Company Name Approval and Industry Restrictions
1. The proposed company name must be submitted in English and must not duplicate or closely resemble any existing registered entity. ACRA’s system performs real-time name screening;
2. Names containing regulated terms such as “Bank,” “Insurance,” or “Trust” require prior written approval from the Monetary Authority of Singapore (MAS) or the respective regulatory authority;
3. Names implying governmental affiliation-such as “Singapore Government,” “National,” or “Royal”-are prohibited. Similarly, names that violate public order and good morals or contain sensitive content are not permitted.
Key Stages in the Registration Process
1. Conduct a preliminary name search and reserve the chosen name via the BizFile+ portal-the reservation remains valid for 60 days;
2. Submit the incorporation application online, uploading supporting documents simultaneously: identification documents for directors/shareholders, proof of registered address, the company’s Constitution, and the secretary appointment letter;
3. ACRA typically completes its review within one hour. Upon approval, the Unique Entity Number (UEN) and an electronic Certificate of Incorporation are issued;
4. Within 15 days of incorporation, the company must register with the Inland Revenue Authority of Singapore (IRAS) for applicable taxes-including corporate income tax, Goods and Services Tax (GST, if applicable), and Central Provident Fund (CPF) contributions (if engaging local employees).
The above outlines the mandatory requirements for incorporating a company in Singapore. If you have related questions-or wish to explore specific procedural details-we recommend reviewing your business type and shareholder structure early, preparing the requisite documentation, and assessing your compliance pathway accordingly.

December 12, 2024The experience was very good. I was still struggling to compare it with other companies. I went to the site a few days ago and wanted to implement it as soon as possible. I didn't expect that everything exceeded my expectations. The company is very large, with several hundred square meters. The employees are also dedicated and responsible. There is also a wall of certificates. I placed an order on the spot. It turned out that I did not make a wrong choice. The company's service attitude is very good and professional. The person who contacted me explained various things in detail in advance. After placing the order, the follow-up was also very timely, and they took the initiative to report the progress to me. In short, I am very satisfied and recommend this company!

December 16, 2024In order to register a company in Hong Kong, I compared many platforms and stores and finally chose this store. The merchant said that they have been operating offline for more than 10 years and are indeed an old team of corporate services. The efficiency is first-class, and the customer service is also very professional.
